The Club may, with prior notice to but without the prior consent of the City, assign all of the Club’s right, title and interest in and to this Agreement and under the Development Agreement to any Person who acquires or as part of such Assignment will acquire the Franchise with the approval of the MLS.
Notwithstanding any provisions in this Agreement, MLS shall have the right to assume and assign this Agreement to any Person if there is an Event of Default on the part of the Club.
Notwithstanding the provisions of Section 16.16 hereof, MLS is designated as an intended third party beneficiary of this Agreement.
Approval of a franchise transfer by MLS under this Section 5.2(a) shall be deemed approval by the City.
