In the event that Seller shall incur any additional Indebtedness (other than (i) existing Indebtedness in amounts not to exceed the amounts set forth on Schedule 2 to the Pricing Letter and (ii) usual and customary accounts payable for a mortgage company), Seller shall include such Indebtedness on the next Monthly Compliance Certificate.
All credit facilities, repurchase facilities or substantially similar facilities or other debt for borrowed money of Seller (the “Debt for Borrowed Money Arrangements”) which are presently in effect and/or outstanding are listed from time to time on the Monthly Compliance Certificate.
Each Borrower shall provide each valuation required pursuant to clause (i) and (ii) above at the time it delivers each Monthly Compliance Certificate or earlier to the extent any Borrower obtains the same.
Seller does not operate in any jurisdiction under a trade name, division name or name other than those names previously disclosed in writing by Seller to Buyer and as may be updated from time to time on the Monthly Compliance Certificate.
Borrower shall, in the event of any information in the Disclosure Schedule becoming outdated, inaccurate, incomplete or misleading, deliver to Agent a proposed update to the Disclosure Schedule correcting all outdated, inaccurate, incomplete or misleading information, together with the next Monthly Compliance Certificate required to be delivered under this Agreement after such event.
