Monthly Reservation Fee definition

Monthly Reservation Fee has the meaning set forth in Exhibit A.
Monthly Reservation Fee means $1,308,333.33 per calendar month, as adjusted pursuant to this Agreement; provided, that, for any period of the Term that runs less than a full calendar month, the Monthly Reservation Fee shall be prorated based upon the number of days in the full calendar month and the number of days constituting the applicable period.
Monthly Reservation Fee has the meaning set forth in Exhibit A. “Person” means any natural person, trustee, corporation, general partnership, limited partnership, limited liability company, joint stock company, trust, unincorporated organization, bank, business association, firm, joint venture, governmental authority, company or other entity “Product” means naphthenic lubricants, distillates, asphalt flux and other intermediate cuts. “Owner” has the meaning specified in the preamble paragraph to this Agreement. “Refinery” has the meaning specified in the recitals to this Agreement. “Refining Services” has the meaning specified in the recitals to this Agreement. “Stock” means crude oil. “Term” means twenty-two (22) years commencing on the Effective Date. “Tolling Fee” has the meaning set forth in Exhibit A. Section 2.

Examples of Monthly Reservation Fee in a sentence

  • Thereafter, at least 10 days prior to first day of each calendar month, Customer shall pay Owner the Monthly Reservation Fee for such month.

  • In such a case, the parties shall negotiate in good faith to reach mutual agreement on a revised Monthly Reservation Fee which the parties believe will more accurately operating costs for subsequent periods.

  • The Tolling Fee and the Monthly Reservation Fee are subject to any applicable adjustment set forth in Section 3.3 below and adjustment set forth in Section 3.6 below.

  • For the avoidance of doubt, no adjustments shall be made to the Monthly Reservation Fee to account for any differences between actual and projected operating costs previously incurred, i.e. there is no “true up” contemplated by the Parties.

  • Any such revised Monthly Reservation Fee that is mutually agreed to shall apply in quarterly periods beginning subsequent to the time of such mutual agreement.

  • The Base Rent, Monthly Reservation Fee and Acquired Site Rent shall be owed by Lessee to Lessor without regard to whether the actual number of Sites leased or occupied by Lessee, or whether Lessee has met the Site Commitment, and without offset or reduction in any manner, except as expressly provided herein regarding undisputed Removed Sites and regarding undisputed Relocation Allowance amounts.

  • The Monthly Reservation Fee shall be paid by Lessee to Lessor for Lessor's agreement to allow Lessee to add Additional Sites, in accordance with the terms described elsewhere herein.

  • The failure of Lessee to meet the Site Commitment shall not result in a breach by Lessee of this Lease or affect Lessee's obligation to pay the Base Rent, the Monthly Reservation Fee or any Acquired Site Rent (defined below).

  • Such Acquired Site Rent shall be owed by Lessee for the Acquired Sites in addition to the Base Rent and Monthly Reservation Fee, regardless of whether or not Lessee has met the Site Commitment.

  • The Base Rent, the Monthly Reservation Fee, the Acquired Site Rent, the Excess Site Rent (defined below), and the Discovered Site Rent (defined below), are collectively referred to as "Rent" as adjusted.

Related to Monthly Reservation Fee

  • Reservation Fee means the fee set forth in the applicable Program Guide, relating to the aggregate principal amount of the particular Mortgage Loans which the Participant has committed to originate and sell to the Servicer (which is not applicable to MCC stand-alone product) pursuant to a Reservation Request, payable contemporaneously with the submission of the corresponding application package, all in accordance with the procedures set forth in the applicable Program Guide.

  • Monthly Servicing Fee shall have the meaning specified in subsection 3.01.

  • Advance Reimbursement Amount has the meaning stated in Section 4.4(b) of the Servicing Supplement.

  • Utilization Fee shall have the meaning assigned to such term in Section 2.06(b).

  • Monthly Service Fee means a monthly charge to a member for continuing care and not as rent, or a daily prorated portion thereof.

  • Additional Servicing Fee means, for any Collection Period, if a successor Servicer has been appointed pursuant to Section 8.2 of the Sale and Servicing Agreement, the amount, if any, by which (i) the compensation payable to such successor Servicer for such Collection Period exceeds (ii) the Monthly Servicing Fee for such Collection Period.

  • Monitoring Fee means the fees payable to the Lender pursuant to Section 2.03(b) below.

  • Servicer Fee has the meaning specified in Section 2.05(a).

  • Servicing Advance Reimbursement Amounts As defined in Section 3.22.

  • Advance Reimbursement Amounts As defined in Section 3.29 hereof.

  • Monthly Remittance Amount The sum of the Group I Monthly Remittance Amount and the Group II Monthly Remittance Amount.

  • Processing Fee means in relation to a Transaction Summary delivered:

  • Monthly Fee means the total consideration, including but not limited to, equipment or locker rental,

  • Contract Fee means the price, fee, rent, or royalty payable in a contract under this chapter or

  • Origination Fee means any origination fee payable to the Department by the lender with respect to any Trust Student Loan.

  • Total Servicing Fee means the sum of the Basic Servicing Fee and the Supplemental Servicing Fee.

  • Additional Servicing Expenses means (a) all Property Protection Advances, fees and/or expenses incurred by and reimbursable to any Servicer, Trustee, Certificate Administrator or fiscal agent pursuant to the Servicing Agreement relating solely to the Mortgage Loan, and (b) all interest accrued on Advances made by (x) any Servicer or Trustee in accordance with the terms of the Servicing Agreement or (y) any Non-Lead Servicer or Non-Lead Trustee in accordance with the terms of the Non-Lead Securitization Servicing Agreement.

  • Servicing Fee As to any Distribution Date and each Mortgage Loan, an amount equal to the product of (a) one-twelfth of the Servicing Fee Rate and (b) the outstanding principal balance of such Mortgage Loan as of the first day of the related Collection Period.

  • Handling Fee means the fee payable per Ticket transaction or order, charged in addition to the Face Value of the Ticket, for the processing and delivery of Tickets in that transaction or order (including United Kingdom value added tax thereon);

  • Basic Servicing Fee means the fee payable pursuant to Section 3.09 to the Servicer on each Payment Date for services rendered during the related Collection Period, which shall be equal to one-twelfth of the Servicing Fee Rate multiplied by the Pool Balance as of the first day of the related Collection Period or, with respect to the first Payment Date, the Original Pool Balance.

  • Rental Fee A fee charged by the Contractor for the rental of a compactor or roll-off container.

  • Base Servicing Fee means the fee payable to the Servicer on each Distribution Date for services rendered during the related Collection Period, which shall be equal to one-twelfth of the Servicing Rate multiplied by the Pool Balance as of the close of business on the last day of the immediately preceding Collection Period or, with respect to the first Distribution Date, the Original Pool Balance.

  • Management Fee shall have the meaning set forth in Section 10(a).

  • Professional Fee Reserve Amount means the total amount of Professional Fee Claims estimated in accordance with Article II.A.2(c) of the Plan.

  • Liquidation Fee Rate With respect to each Specially Serviced Mortgage Loan or REO Property as to which a Liquidation Fee is payable, 1.0%.

  • Installation Fee means charges payable by the Customer for the installation of the service as provided in the Order Form;
