NOW, THEREFORE BE IT RESOLVED by the Marshall County Board of Supervisors that the Marshall County Engineer and the following named employees of the Secondary Road Department be authorized to issue and sign special permits for the movement of vehicles of excessive size and weight upon Marshall County Secondary Roads in accordance with said Chapter 321E: Named Employees: Paul Geilenfeldt, Mark Hentges, Lisa Reeder, Jill Tompkins, Andrew Rhodes.
The Provider shall obtain the consent of all Named Employees employed to work on this Contract to enable the Authority to carry out all necessary checks under this Clause and Clauses B7., B10.
To the knowledge of Intagio, there are no material pending claims, actions, suits, investigations or proceedings alleging any violation of applicable laws, rules or regulations relating to employment of the Named Employees by Intagio.
The Named Employees are employed on an “at-will” basis, and, to the knowledge of Intagio, are eligible to work and are lawfully employed in the United States.
To the knowledge of Intagio, (i) there is no action or proceeding pending or threatened by the Assigned Clients or the Named Employees against Intagio before any court, administrative agency or arbitral tribunal, and (ii) there are no material outstanding or unsatisfied judgments, orders, decrees or stipulations to which Intagio is a party with the Assigned Clients or the Named Employees.
In the event that the Named Employees require access to the Sellers’ books and records to perform the Transition Services as engaged by Rafaella hereunder, the Sellers shall, during normal business hours, provide Named Employees with reasonable access to its books and records .
During such period, Sellers may request that the Purchaser make available the Named Employees to facilitate (i) the orderly winding down of the business and operations of each of the Sellers, (ii) the sale of Excluded Assets, (iii) the settlement and satisfaction of the Excluded Liabilities; (iv) the negotiation of any Seller Returns and Seller Chargebacks in accordance with Section 5.14 of the Purchase Agreement (the “Transition Services”).
Named Employees of the Seller who accept such offer are, as of the time they first perform services for the Purchaser, referred to herein as the “Transferred Employees”.
Intagio affirms that no material disputes have been settled or resolved by litigation or arbitration since July 31, 2005 with the Assigned Clients or the Named Employees.
