Net Cash Available for Distribution definition

Net Cash Available for Distribution means (i) the excess, for each semi-annual period ending on the last day of the second and fourth Fiscal Quarter of each Fiscal Year, of Revenues for such period over Costs for such period; plus (ii) cash and cash equivalent securities on hand at the beginning of such period; minus (iii) adequate reserves for working capital, approved future expenditures and known liabilities.
Net Cash Available for Distribution. The gross cash proceeds from Company operations, less the portion thereof used to pay or establish reserves for all Company working capital purposes, and other costs or expenses incident to the ownership or operation of the Company’s business, all as determined by the Managers. “Net Cash Available for Distribution” shall not be reduced by depreciation, amortization, cost recovery deductions, or similar allowances, but shall be increased by any reductions of reserves previously established pursuant to the first sentence of this paragraph.
Net Cash Available for Distribution means, for any period, the revenues received by the Company less (i) the total cash payments made by the Company during such period (including payment of the Manager Compensation), other than distributions to Members during such period pursuant to Section 9 hereof, and (ii) amounts set aside to establish or increase reserves for future cash expenditures as the Manager reasonably deems necessary for the proper operation of the Company’s business.

Examples of Net Cash Available for Distribution in a sentence

  • Except as otherwise provided in Section 12.3, Net Cash Available for Distribution shall be distributed by the Company to the Members on a quarterly basis within thirty (30) days following each calendar quarter, or at such other times as may be approved by the Board of Managers, and shall be made to the Members in proportion to their relative Percentage Interests.

  • Except as specifically set forth herein with respect to distribution of Net Cash Available for Distribution under Section 9.1 or distributions made upon liquidation in accordance with Section 11.3, no Member shall have priority over any other Member, either as to the return of Capital Contributions or as to Profits, Losses or distributions.

More Definitions of Net Cash Available for Distribution

Net Cash Available for Distribution means all cash available for distribution by the Company (other than Capital Contributions), as determined in the good faith discretion of the Board of Managers in excess of amounts retained by the Company for other purposes, including: (a) to pay Company expenses and for anticipated liabilities, (b) to fund reserves, (c) to fund anticipated payments on indebtedness of the Company, (d) to fund any anticipated acquisitions and (e) to pay any required tax withholdings; provided that, with respect to clauses (b) and (d), the Board of Managers shall take into account the Company’s obligation to make Tax Distributions.
Net Cash Available for Distribution shall not be reduced by depreciation, amortization, cost recovery deductions, or similar allowances, but shall be increased by any reductions of reserves previously established pursuant to the first sentence of this paragraph.
Net Cash Available for Distribution means the excess of all cash receipts over the sum of cash expenditures payable in connection with the generation thereof and provision, as the General Partner in its sole discretion may determine, for any reserves for expenditures, contingencies, and liabilities.
Net Cash Available for Distribution means the gross cash proceeds from Company operations, including but not limited to the proceeds from sale of real property and other assets in the ordinary course of business, less capitalized costs as such term is defined in the Uniform Capitalization (UNICAP) rules of Section 263A of the Internal Revenue Code, less the cash used to pay or establish reserves for expenses, debt and interest payments, capital improvements, replacements, and contingencies, and operating expenses, including the management fees payable to the Managing Member.
Net Cash Available for Distribution means the subtotal of (i) the gross proceeds received by the Company from any sale or other disposition of the real property comprising any Foreclosed Company Loan or from condemnation or casualty proceeds which are not used for restoration of the underlying property, and (ii) the gross proceeds received by the Company, including, without being limited to, all payments received for the account of the Company from all sources whatsoever as a direct or indirect result of the ownership of the Company Loan Investments, including, without being limited to, principal, interest, Company Loan Points, penalties, fees, charges and other cash collateral or, in respect of a Foreclosed Company Loan, income from the underlying real property (other than the proceeds of Capital Transactions and any contributions of capital to the Company by the Members), less the Asset Management Fee payable to the Asset Manager as provided in the Asset Management Agreement, Reserves and other Operating Expenses (not paid from the Loan Workout Reserve) or other expenses paid to the extent paid in cash and all cash payments made with respect to interest and amortization of principal on Company indebtedness (however, there shall be excluded from such expenditures any expenditures to the extent funded from Reserves, capital contributions of the Members or the proceeds of loans).
Net Cash Available for Distribution means, for any Fiscal Quarter, the amount by which the total of the cash on hand and in the Company’s bank accounts as of the end of such Fiscal Quarter is in excess of the projected cash requirements of the Company for the immediately succeeding Fiscal Quarter. The cash requirements of the Company for any Fiscal Quarter shall include, but not be limited to, the amounts that the Board of Managers reasonably expects will be required to be expended by the Company during such Fiscal Quarter for capital calls that may be made on the Company by other entities, taxes, debt service, and other operating and capital expenses and contingencies of the Company, all as determined by the Board of Managers, in its sole and absolute discretion. Net Cash Available for Distribution shall not be reduced by depreciation, amortization, cost recovery deductions, or similar allowances.

  • Cash Available for Distribution means the Available Cash other than Net Sales Proceeds.

  • Net Available Cash from an Asset Disposition means cash payments received (including any cash payments received by way of deferred payment of principal pursuant to a note or installment receivable or otherwise and net proceeds from the sale or other disposition of any securities received as consideration, but only as and when received, but excluding any other consideration received in the form of assumption by the acquiring person of Indebtedness or other obligations relating to the properties or assets that are the subject of such Asset Disposition or received in any other non-cash form) therefrom, in each case net of:

  • Cash Flow Available for Debt Service for any period, means (i) Cash Flow received during such period minus (ii) (A) all O&M Costs paid during such period and (B) if an Equity Cure has been made in any fiscal quarter during the period for which Cash Flow Available for Debt Service is calculated, the lesser of the aggregate amount of (x) such Equity Cure during such period and (y) the aggregate amount of cash distributions paid by the Company during such period.

  • Consolidated Income Available for Debt Service for any period means Earnings from Operations of the Company and its Subsidiaries plus amounts which have been deducted, and minus amounts which have been added, for the following (without duplication): (i) interest on Debt of the Company and its Subsidiaries, (ii) provision for taxes of the Company and its Subsidiaries based on income, (iii) amortization of debt discount and deferred financing costs, (iv) provisions for gains and losses on properties and property depreciation and amortization, (v) the effect of any noncash charge resulting from a change in accounting principles in determining Earnings from Operations for such period and (vi) amortization of deferred charges.

  • Available Cash Flow means an amount, with respect to each Fiscal Year or portion thereof during the Term, equal to the excess, if any, of the Operating Profit over the Owner’s Priority.

  • Distributable Cash Flow means the cash flow available for distribution to Shareholders as dividends as described under “Dividends”;

The foregoing definition of Adjusted Capital Account Balance is intended to comply with the provisions of Treasury Regulations Section 1.704-1(b)(2)(ii)(d) and shall be interpreted consistently therewith.

  • Tax Distributions has the meaning set forth in Section 4.01(b)(i).

  • Net Cash means, without duplication and in any event as of the Net Cash Determination Time and, as applicable, determined in a manner consistent with the manner in which such items were historically determined and in accordance with Check-Cap’s audited financial statements and unaudited interim balance sheet, the sum of (i) Check-Cap’s unrestricted cash and cash equivalents (excluding marketable securities, other than marketable securities acquired in accordance with Keystone’s written consent, which shall not be unreasonably withheld, but including, for the avoidance of doubt, unrestricted cash deposits and interest accrued thereon), plus (ii) restricted cash items set forth in Section 1.1 of the Check-Cap Disclosure Schedule minus (iii) current and long-term liabilities payable in cash (excluding non-cash liabilities) accrued at Closing pursuant to GAAP, minus (iv) all of Check-Cap’s unpaid Transaction Costs, minus (iv) the cost of redemption of all Check-Cap Warrants (including for the avoidance of doubt, the Check-Cap Registered Direct Warrants and Check-Cap Placement Agent Warrants) that have redemption rights according to their terms, and are outstanding as of immediately prior to the Israeli Merger Effective Time (assuming the full redemption thereof), plus (v) all prepaid Check-Cap expenses listed on Section 1.1 of the Check-Cap Disclosure Schedule, plus (vi) the amount of any expenses paid or liabilities incurred by Check-Cap during the Interim Period that the insurer under Check-Cap’s D&O insurance policy listed on Section 1.1 of the Check-Cap Disclosure Schedule has unconditionally and irrevocably agreed in writing to pay and are in excess of the deductible under such policy, plus (vii) the amount of any Check-Cap Legacy Transaction Eligible Proceeds (disregarding, for purposes of this definition, the proviso in the definition of “Check-Cap Legacy Transaction Eligible Proceeds”) to be received by Check-Cap for any Check-Cap Legacy Transaction at or prior to the Closing Date, or to which Check-Cap is contractually entitled as of the Closing Date to receive within ninety (90) days following the Closing Date (subject to no conditions other than the passage of time).

  • Net Cash Flow means, with respect to the Property for any period, the amount obtained by subtracting Operating Expenses and Capital Expenditures for such period from Gross Income from Operations for such period.

  • Net earnings available for fixed charges means net income after deducting operating and maintenance expenses, taxes other than federal and state income taxes, depreciation, and depletion, but excluding extraordinary expenses appearing in the regular financial statements of the system.

  • Distributable Cash means, as of any relevant date on which a determination is being made by the Manager regarding a potential distribution pursuant to Section 4.01(a), the amount of cash that could be distributed by the Company for such purposes in accordance with the Credit Agreements (and without otherwise violating any applicable provisions of any of the Credit Agreements).
