Net Invoice Cost definition

Net Invoice Cost means, with respect to equipment, the net invoice cost of such equipment (excluding taxes, shipping, delivery, handling, installation, overhead and other so called “soft” costs).
Net Invoice Cost means the price a dealer paid for a product, less any rebate or discount, plus taxes the dealer paid on the product and any sums the dealer paid to transport the product to the dealer.
Net Invoice Cost as to any Eligible Equipment, an amount equal to (a) the original purchase price of such Eligible Equipment as evidenced by an invoice provided by the seller of such Eligible Equipment to the applicable Credit Party a copy of which is delivered to the Administrative Agent prior to or concurrently with the most recently delivered Borrowing Base Certificate minus (b) all soft costs associated with such purchase, including but not limited to, interest charges, finance fees, taxes, installation fees, delivery fees and professional fees.

Net Invoice Cost means, with respect each item of ABL Equipment, the net invoice cost of such ABL Equipment (excluding taxes, shipping, delivery, handling, installation, overhead and other so called “soft” costs), as evidenced by the initial invoice documentation with respect to each such item of ABL Equipment delivered by Borrowers to Agent in connection with the execution and delivery of the Eligible ABL Equipment Amendment.
Net Invoice Cost means, with respect to equipment, the net invoice cost of such equipment (excluding taxes, shipping, delivery, handling, installation, overhead and other so called “soft” costs). “Non-Defaulting Lender” shall mean, at any time, any Lender holding a Revolving Commitment that is not a Defaulting Lender at such time. “Non-Qualifying Party” shall mean any Borrower or any Guarantor that on the Eligibility Date fails for any reason to qualify as an Eligible Contract Participant. “Notes” shall mean collectively, the Equipment Notes, the Revolving Credit Notes and the Swing Loan Note. “Obligations” shall mean and include any and all loans (including without limitation, all Advances and Swing Loans), advances, debts, liabilities, obligations (including without limitation all reimbursement obligations and cash collateralization obligations with respect to Letters of Credit issued hereunder), covenants and duties owing by any Borrower or Guarantor or any Subsidiary of any Borrower or any Guarantor under this Agreement or any Other Document (and any amendments, extensions, renewals or increases thereto), to Issuer, Swing Loan Lender, Lenders or Agent (or to any other direct or indirect subsidiary or affiliate of Issuer, Swing Loan Lender, any Lender or Agent) of any kind or nature, present or future (including any interest or other amounts accruing thereon, any fees accruing under or in connection therewith, any costs and expenses of any Person payable by any Borrower and any indemnification obligations payable by any Borrower arising or payable after maturity, or after the filing of any petition in bankruptcy, or the commencement of any insolvency, reorganization or like proceeding relating to any Borrower, whether or not a claim for post-filing or post-petition interest, fees or other amounts is allowable or allowed in such proceeding), whether direct or indirect (including those acquired by assignment or participation), absolute or contingent, joint or several, due or to become due, now existing or hereafter arising, contractual or tortious, liquidated or unliquidated, regardless of how such indebtedness or liabilities arise including all costs and expenses of Agent, Issuer, Swing Loan Lender and any Lender incurred in the documentation, negotiation, modification, enforcement, collection or otherwise in connection with any of the foregoing, including but not limited to reasonable attorneys’ fees and expenses and all obligations of
Net Invoice Cost means, with respect to Capital Expenditures, the invoice cost incurred by the Borrower with respect thereto, less the aggregate amount of all freight charges, installation and preparation costs and taxes included therein.”

  • Net Invoice Price means the price paid by You for Your Vehicle including all factory fitted accessories and any discount given but excluding retailer fitted accessories, road fund licence, new vehicle registration fee, fuel, paintwork and / or upholstery protection kits, insurance premiums (including this Premium), warranty premiums and any such associated costs and any Negative Equity.
