New Series A Notes definition

New Series A Notes means the Series A Notes that will be issued by Lamington and distributed by the Debtor to the Holders of the Senior Secured Notes Claims upon the Effective Date, subject to the right of the Senior Secured Notes Trustee to exercise its Senior Secured Notes Charging Lien against such distribution for any unpaid Senior Secured Notes Trustee Fees. The form of the New Series A Notes will be included in the Plan Supplement and will be consistent in all material respects with the Restructuring Support Agreements and/or otherwise in form and substance acceptable to the Debtor and the Requisite Parties.
New Series A Notes means the new secured notes in the principal amount of $40 million to be issued by Reorganized WPSC pursuant to the New Series A Note Indenture to the holders of Class 5 Claims and having substantially the terms set forth in Exhibit A1 hereto.

  • All conditions precedent to the issuance of the New Series A Notes, the New Series B Notes, the New PPNs, the New PPN Warrants, the New PPN SARs, the New SARs, and the New Unvested Warrants shall have occurred and the New Series A Notes, the New Series B Notes, the New PPNs, the New PPN Warrants, the New PPN SARs, the New SARs, and the New Unvested Warrants shall have been issued.

  • The New Series A Notes would form a single series together with the Previous Series A Notes.

  • The material terms of the New Series A Notes, the New Series B Notes, and the New PPNs are summarized in Exhibit B attached hereto.

  • Thus, when the U.S. Holder’s New Series A Notes, New Series B Notes and/or New PPNs held indirectly through Grantor Trust Certificates are eventually disposed of, the Holder will recognize an amount of additional gain or reduced loss (compared to what the Holder would have recognized had there been no such basis reduction) equal to the amount of income excluded pursuant to the PTI rules discussed above, effectively offsetting such income exclusion (but providing a timing benefit with respect thereto).

  • The New PPN SARs will be issued in order to allow new PPNs to be issued to correspond to new Grantor Trust Certificates to be issued upon the exercise of the New SARs. The New Series A Notes, the New Series B Notes, the New PPNs, the Grantor Trust Certificates, the New Unvested Warrants, the New PPN Warrants, the New SARs, and the New PPN SARs are collectively referred to as the “Restructuring Securities”.
