Newly Acquired Shares definition

Newly Acquired Shares means Ball Corporation Common Stock acquired by a Participant during the Acquisition Period, including shares acquired via stock option/stock appreciation right exercise.
Newly Acquired Shares means any shares of capital stock of the Company that become beneficially owned by the Investor or his Affiliates after the Effective Date that are not beneficially owned by the Investor or his Affiliates prior to the Effective Date. For the avoidance of doubt and for purposes of this definition only, the Investor and his Affiliates shall be deemed to beneficially own, prior to the Effective Date, (i) any shares of Class A Common Stock issuable upon conversion of outstanding shares of Class B Common Stock beneficially owned by the Investor or his Affiliates on the Effective Date and (ii) any shares of capital stock of the Company issuable pursuant to any rights or options outstanding on the Effective Date and held by the Investor or his Affiliates. With respect to shares of capital stock beneficially owned prior to the Effective Date only, shares of capital stock acquired by the Investor or his Affiliates through a stock split or similar distribution shall not be deemed Newly Acquired Shares.
Newly Acquired Shares means any share issued by the Issuer acquired by the Pledgor after the date hereof, but excluding Excluded Shares. For the avoidance of doubt, it is hereby agreed that for purposes of this definition any Newly Acquired Shares shall automatically be deemed a “Pledged Share”.

Examples of Newly Acquired Shares in a sentence

  • In addition, any RSUs granted pursuant to this Program shall be forfeited if the Newly Acquired Shares to which the RSUs relate are sold or transferred by the Participant prior to the lapse of restrictions on such RSUs. For each RSU for which the restrictions have lapsed, the holding period requirement for the Newly Acquired Shares for which the RSUs were granted shall also end.

  • The Participant must agree that the Newly Acquired Shares for which the RSUs were granted will not be sold or transferred prior to the lapse of restrictions on the matching RSUs. Corporate officers are discouraged from pledging such shares, and should check with the General Counsel before doing so.

  • For Participants that are not officers of the Corporation, a pledge of Newly Acquired Shares as collateral for any loan during the Holding Period is not considered to be a sale or transfer of the shares for purposes of this Program; however, in the event of default on the loan during the Holding Period, the Newly Acquired Shares will be considered to be sold and the RSUs will be forfeited.

  • There is no minimum number of Newly Acquired Shares pursuant to deferral of economic value added incentive compensation that will be matched at one time.

  • For Participants that are not officers of the Corporation, a pledge of Newly Acquired Shares as collateral for any loan during the Holding Period is not considered to be a sale or transfer of the shares for purposes of this Program; however, in the event of default on the loan during the Holding Period, the Newly Acquired Shares will be considered to be sold and the matching RSUs will be forfeited.

  • The Participant must agree that the Newly Acquired Shares for which the RSUs were granted will not be sold, transferred, or diversified, prior to the lapse of restrictions on the RSUs. Corporate officers are discouraged from pledging such shares, and should check with the General Counsel before doing so.

  • A pledge of Newly Acquired Shares as collateral for any loan during the Holding Period is not considered to be a sale or transfer of the shares for purposes of this Program; however, in the event of default on the loan during the Holding Period, the Newly Acquired Shares will be considered to be sold and the matching Restricted Shares will be forfeited.

  • Definitions2.1 Award Date means the actual date the Participant is given the opportunity to purchase Newly Acquired Shares pursuant to the Program.

Newly Acquired Shares means shares of the Company’s common stock acquired by the Participant during the Acquisition Period, including shares (a) acquired through open market purchases (including shares purchased with the after-tax proceeds of bonuses and performance cash) or the exercise of stock options; or (b) committed from the net after-tax proceeds of performance shares, restricted stock units or restricted stock pursuant to awards vesting between March 1, 2024 and the end of the Acquisition Period. For the avoidance of doubt, Newly Acquired Shares will not include shares of the Company’s common stock beneficially owned by the Participant prior to the Acquisition Period, shares subject to unexercised stock options, shares earned and vested after the end of the Acquisition Period, shares in the Participant’s 401(k) plan account, unvested retention restricted stock units and unvested new hire awards or shares purchased with amounts paid under the Company’s annual incentive plan for 2024 (paid in 2025) or under the Company’s performance cash program for the 2022-24 performance cycle (paid in 2025).
Newly Acquired Shares means shares of the Company’s common stock acquired by the Participant during the Acquisition Period, including shares (a) acquired through open market purchases (including shares purchased with the after-tax proceeds of bonuses and performance cash) or the exercise of stock options; or (b) committed from the net after-tax proceeds of performance shares, restricted stock units or restricted stock pursuant to awards vesting between March 1, 2023 and the end of the Acquisition Period. If the Newly Acquired Shares listed above are not sufficient to fund a Participant’s Minimum Commitment, then up to fifty percent (50%) of the number of shares subject to the Participant’s performance shares for the 2021-23 performance cycle and fifty percent (50%) of the number of shares subject to restricted stock units or restricted stock vesting by March 2024 may be treated as Newly Acquired Shares to the extent that such additional number would cause the Minimum Commitment to be met and the Participant commits them to the Program pursuant to the procedures specified by the Committee. To the extent fewer performance shares for the 2021-23 performance cycle are earned than were committed to the Program, the Participant may elect (a “Make-Up Election”) to purchase a number of shares equal to the shortfall on terms and conditions determined by the Company following the determination of the number of performance shares earned; provided that, to the extent the Participant does not elect to purchase such shares, a corresponding number of Matching RSUs will be forfeited, but the Participant will not be deemed to have failed to fund such Participant’s Minimum Commitment due to such shortfall. For the avoidance of doubt, Newly Acquired Shares will not include shares of the Company’s common stock beneficially owned by the Participant prior to the 4878-3416-6579 Acquisition Period, shares subject to unexercised stock options, shares earned and vested after the end of the Acquisition Period, shares in the Participant’s 401(k) plan account, unvested retention restricted stock units and unvested new hire awards or shares purchased with amounts paid under the Company’s annual incentive plan for 2023 (paid in 2024) or under the Company’s performance cash program for the 2021-23 performance cycle (paid in 2024).
Newly Acquired Shares means Ball Corporation Common Stock acquired during the Acquisition Period, including shares acquired via option exercise. It does not include Ball Corporation Common Stock obtained via a Restricted Stock Grant or by a Participant through the Corporation’s other benefit plans, which include but are not limited to the Ball Corporation Salary Conversion and Employee Stock Ownership Plan (401(k) Plan) and the Employee Stock Purchase Plan.

Related to Newly Acquired Shares

  • Previously Acquired Shares means shares of Common Stock that are already owned by the Participant or, with respect to any Incentive Award, that are to be issued upon the grant, exercise or vesting of such Incentive Award.

  • Shares Acquisition Date means the first date of public announcement by the Company or an Acquiring Person that an Acquiring Person has become such.

  • Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Newly acquired auto means any of the following types of vehicles you become the owner of during the policy period:

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • A Shares means any securities issued by companies incorporated in Mainland China which are listed and traded, from time to time, on the Mainland China A Share market (i.e. the SSE or the SZSE) and not on SEHK.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Company Shares has the meaning set forth in the Recitals.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Make-Whole Acquisition Stock Price means the consideration paid per share of Common Stock in a Make-Whole Acquisition. If such consideration consists only of cash, the Make-Whole Acquisition Stock Price shall equal the amount of cash paid per share of Common Stock. If such consideration consists of any property other than cash, the Make-Whole Acquisition Stock Price shall be the average of the Closing Price per share of Common Stock on each of the 10 consecutive Trading Days up to, but not including, the Make-Whole Acquisition Effective Date.

  • Buyer Stock means the common stock, par value $0.001 per share, of Buyer.

  • Sale Shares has the meaning ascribed to it at Recital (A).
