Non-GAAP EPS means GAAP net income for the year ending December 31, 2016 reflected in Green Dot’s consolidated statements of income excluding (i) employee stock-based compensation expense, (ii) amortization of acquired intangibles, (iii) change in fair value of contingent consideration, (iv) transaction costs, (v) impairment charges, (vi) amortization of deferred financing costs, (vii) costs and expenses incurred in connection with proxy contests and similar engagements and (viii) other income and expense that the Committee Compensation determines are not reflective of ongoing operating results, each tax effected using the Company’s year-to-date effective tax rate, divided by the diluted weighted-average shares issued and outstanding for the year ending December 31, 2016 reflected in Green Dot’s consolidated statements of income after giving effect to the assumed conversion of weighted-average shares of preferred stock for that period.
Non-GAAP EPS means GAAP net income for the year ending December 31, 2020 reflected in the Company’s consolidated statements of income excluding (i) employee stock-based compensation expense and related employer payroll taxes, (ii) amortization of acquired intangibles, (iii) change in fair value of contingent consideration, (iv) transaction costs, (v) impairment charges, (vi) amortization of deferred financing costs, (vii) impairment charges, (viii) extraordinary severance expenses, and (ix) other income and expense that the Compensation Committee determines are not reflective of ongoing operating results, each tax effected using the Company’s year-to-date effective tax rate, divided by the diluted weighted-average shares issued and outstanding for the year ending December 31, 2020 reflected in the Company’s consolidated statements of income after giving effect to the assumed conversion of weighted-average shares of preferred stock for that period. The items to be excluded for purposes of computing non-GAAP EPS under clause (ix) are subject to the review and approval of the Compensation Committee.
Non-GAAP EPS means the Company’s diluted earnings per share adjusted to exclude charges or items from the measurement of performance relating to: (i) amortization expenses, (ii) asset impairment charges and losses /(gains) and expenses associated with the sale of assets, (iii) business restructuring charges associated with the Company’s Global Supply Chain and Operational Excellence Initiatives or other restructurings of a similar nature, (iv) costs and charges associated with the acquisition of businesses and assets including, but not limited to, milestone payments, integration charges, other charges associated with the revaluation of assets or liabilities and charges associated with the revaluation of acquisition related contingent liabilities that are based in whole or in part on future estimated cash flows, (v) litigation charges and settlements and (vi) other unusual charges or expenses.

Examples of Non-GAAP EPS in a sentence

  • For performance at threshold or higher, vesting shall be determined as follows: Evaluate Non-GAAP EPS CAGR as of each of September 30, 2013, 2014 and 2015.

  • If the Non-GAAP EPS CAGR is 20% for each year: • 120,000 shares will be earned for 2013 and vested, • 120,000 shares will be earned for 2014 and vested, and • 120,000 shares will be earned for 2015 and vested.

  • Non-GAAP EPS for purposes of the Milestones #10-12 below shall be calculated in a manner consistent with any non-GAAP EPS numbers publicly disclosed to the Company’s investors.
