Noncompetition Party definition

Noncompetition Party means Seller and, as of any time, any entity that is a direct or indirect Subsidiary of Seller.
Noncompetition Party means PKI and any direct or indirect majority-owned subsidiaries of PKI (or entities otherwise controlled by PKI or its subsidiaries) while (but only while) such entity is a direct or indirect majority-owned subsidiary of PKI (or otherwise so controlled), it being understood that, for purposes of this definition, “controlled” means the actual power to cause the entity to take an action through contractual provisions or the power to elect a majority of members of the board of directors or similar governing body of such entity.
Noncompetition Party means PKI and any direct or indirect Subsidiaries of PKI while (but only while) such entity is a direct or indirect Subsidiary of PKI.

  • Upon notification of such opportunity, the Buyer shall thereafter have 20 days to enter into an agreement with such Noncompetition Party to provide such services.

Noncompetition Party means each of the Sellers and each of their respective Subsidiaries while (but only while) such entity is a Subsidiary of such Seller.

Noncompetition Party means each of Seller, Nortel Networks Corporation and Nortel Networks Limited and each of their direct or indirect majority-owned subsidiaries (collectively, the "Nortel Networks Companies") while (but only while) such entity is a direct or indirect majority-owned subsidiary of the Nortel Networks Companies, except that such defined term shall not include "Arris Group, Inc."
