Nonunion Employees definition

Nonunion Employees mean Seller’s Employees who are not subject to the ▇▇▇▇▇▇▇▇ CBA or the Modified CBA nor on the Excluded Employees List and were immediately prior to the Closing Date (i) actively at work in connection with the Business or (ii) on short-term disability in connection with the Business. Buyer agrees to make offers of employment to substantially all of the Nonunion Employees, effective on the Closing, on terms and conditions of employment that Buyer establishes in its sole discretion. Nonunion Employees who accept Buyer’s offer are employed by Buyer after the Closing Date will be referred to as “Re-Hired Nonunion Employees.”
