Offer Press Release definition

Offer Press Release means a press release announcing, in compliance with Rule 2.7, a firm intention to make an Offer or, as the case may be, a switch to an Offer in accordance with Section 8 of Appendix 7 to the Takeover Code.

Offer Press Release means the press announcement substantially in the agreed terms to be released by or on behalf of the Borrower or Bidco to announce the terms of the Offer.

Offer Press Release means the press release announcing, in compliance with Rule 2.7 of the Takeover Code, a firm intention to make an offer for the Target which is to be implemented by way of an Offer or, as the case may be, a conversion from a Scheme to an Offer in accordance with Section 8 of Appendix 7 to the Takeover Code.

• The Borrower, or Bidco, shall issue the Offer Press Release within five Business Days of the date of this Agreement.

More Definitions of Offer Press Release

Offer Press Release means the press release announcing, in compliance with Rule 2.7 of the City Code, a firm intention to make the Offer or, as the case may be, a switch to an Offer in accordance with Section 8 of Appendix 7 to the City Code which shall be consistent in all material respects with the press release provided to the Administrative Agent pursuant to Section 5.01.

Offer Press Release means the press release announcing, in compliance with Rule 2.7 of the City Code, a firm intention to make the Offer, which shall be consistent in all material respects with the press release provided to the Administrative Agent pursuant to Section 4.01(c).

Offer Press Release has the meaning assigned to such term in Section 6.20(l).

Offer Press Release means, if the Acquisition is implemented by means of an Offer, the public announcement issued or to be issued by the Company confirming that the Offer has become or has been declared wholly unconditional as to acceptances.

Offer Press Release shall have the meaning assigned to such term in Section 5.16(i).

Offer Press Release if an Offer Conversion occurs, the press announcement substantially in the agreed terms to be released by or on behalf of Bidco under Section 2.5 of the City Code to announce the terms of the Offer, pre-conditional or otherwise; provided that such press announcement shall have substantially the same terms as those set forth in the Scheme Press Release (other than those changes necessary in connection with the conversion of the Scheme to an Offer).

Offer Press Release means the press announcement in form and substance acceptable to the Joint Lead Arrangers, delivered pursuant to Section 4.02(a) and proposed to be released in connection with the Offer.
