One Percent Stockholder definition

One Percent Stockholder means a stockholder of the Company who holds at least 1% of the outstanding Common Stock of the Company (assuming conversion of all outstanding Preferred Stock of the Company). In order to enforce the foregoing covenant, the Company may impose stop-transfer instructions with respect to the Registrable Securities of each Holder (and the shares or securities of every other person subject to the foregoing restriction) until the end of such period.
One Percent Stockholder means a stockholder of the Company who holds at least 1% of the outstanding Common Stock of the Company (assuming conversion ‘of all outstanding Investor Stock of the Company). The underwriters in connection with the initial, effective registration statement of the Company are intended third-party beneficiaries of this Section 2.13 and shall have the right, power and authority to enforce the provisions hereof as though they were a party hereto. Each Holder further agrees to execute such agreements as may be reasonably requested by the underwriters that are consistent with this Section 2.13 or that are necessary to give further effect thereto. In order to enforce the foregoing covenant, the Company may impose stop-transfer instructions with respect to the Common Stock of the Common Holders and Registrable Securities of each Holder (and the shares or securities of every other person subject to the foregoing restriction) until the end of such period.
One Percent Stockholder means a stockholder of the Company who holds at least 1% of the outstanding Common Stock of the Company (assuming conversion or exercise of all outstanding securities convertible into or exercisable for Common Stock of the Company). The securities of all partners, retired partner, members and stockholders, subsidiaries of a Holder, and any family member of any of them and any trusts for any of their benefit shall be aggregated to determine whether someone is a One Percent Stockholder. In order to enforce the foregoing covenant, the Company may impose stop-transfer instructions with respect to the Registrable Securities of each Holder (and the shares or securities of every other person subject to the foregoing restriction) until the end of such period.

  • Eligible Shareholder means an existing or new investor of the Company that is eligible at the ACD’s discretion to invest in the Class X Shares upon entering into an agreement with the ACD and fulfilling the eligibility conditions set by the ACD from time to time.

  • Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.

  • Participating Stockholder means a “Participating Stockholder” under the HBB Stockholders’ Agreement, HY Stockholders’ Agreement and NACCO Stockholders’ Agreement, to the extent the Partnership owns HBB Class B Shares, HY Class B Shares or NACCO Class B Shares. A Partner shall cease to be a Participating Stockholder under this Agreement and shall be deemed to be a Former Partner immediately prior to any event or lapse of time that causes such Partner to no longer be a “Participating Stockholder” under such applicable stockholders’ agreements.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.

  • Fifty-Percent or Greater Interest shall have the meaning ascribed to such term for purposes of Sections 355(d) and (e) of the Code.
