Investor Stock definition
Investor Stock means the shares of the Company’s Common Stock or Preferred Stock now owned or subsequently acquired by the Investors whether or not such securities are only registered in an Investor’s name or beneficially or otherwise legally owned by such Investor.
Investor Stock means: (i) the shares of Common Shares issued to an Investor hereunder or otherwise owned by such Investor, (ii) the Common Shares issued to the Investor and (iii) any shares of Common Stock issued as (or issuable upon the conversion or exercise of any warrant, right or other security which is issued as) a dividend or other distribution on or with respect to, or in replacement of, any shares of Series A Preferred or Conversion Shares referred to in (i) and (ii) above.
Investor Stock means the Investor Preferred and the Investor Common.
Examples of Investor Stock in a sentence
Other than as provided in Schedule 3.4(c), there will be no outstanding securities or instruments containing anti-dilution or similar provisions that will be triggered by the issuance of the Notes, the grant of the Warrants, or issuance of the shares of Investor Stock.
Such Investor is not an entity formed for the specific purpose of acquiring its Notes, Warrants, and the shares of Investor Stock.
The Company further covenants that it will take such further action as any holder of Securities may reasonably request, all to the extent required from time to time to enable such Person to sell such shares of Investor Stock without registration under the 1933 Act within the limitation of the exemptions provided by Rule 144 or other applicable exemptions.
For a period of three years from the date hereof, if the Company is not required to file reports pursuant to the 1934 Act, it will prepare and furnish to such Investor and make publicly available in accordance with Rule 144(c) such information as is required for such Investor to sell the shares of Investor Stock under Rule 144.
The Investor understands that it has been advised to consult legal counsel prior to making any offer, resale, pledge, or transfer of any of its Notes, Warrants, or shares of Investor Stock.

Investor Stock means (i) the Class A Common issued hereunder and -------------- (ii) any Common Stock issued or issuable with respect to the Common Stock referred to in clause (i) above by way of stock dividends or stock splits or in connection with a combination of shares, recapitalization, merger, consolidation or other reorganization. As to any particular shares of Investor Stock, such shares shall cease to be Investor Stock when they have been (a) effectively registered under the Securities Act and disposed of in accordance with the registration statement covering them or (b) distributed to the public through a broker, dealer or market maker pursuant to Rule 144 under the Securities Act (or any similar rule then in force). Whenever any particular securities cease to be Investor Stock, the holder thereof shall be entitled to receive from the Company, without expense, new securities of like tenor not bearing a Securities Act legend of the character set forth in Section 4A.
