Rollover Option has the meaning set forth in Section 2.4(a).
Company Stock Option means any option to purchase one or more shares of the Company’s Common Stock granted under any of the Company Stock Plans.
SAR Value means the excess of the Fair Market Value (on the exercise date) over the exercise price that the participant would have otherwise had to pay to exercise the related Stock Option, multiplied by the number of shares for which the Stock Appreciation Right is exercised.
Nonstatutory Stock Option means an Option not intended to qualify as an Incentive Stock Option.
Rollover Options has the meaning provided in Subsection 3.1(h).
Company Stock Option Plan means each share option plan, share award plan, share appreciation right plan, phantom share plan, share option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any share, option, warrant or other right to purchase or acquire shares of the Company or right to payment based on the value of Company shares has been granted or otherwise issued.
Nonqualified Option means any Option that is not an Incentive Stock Option.
Company Stock Options shall have the meaning given to such term in Section 3.3(a) hereof.
Reload Option means any Option granted under Section 6(a)(iv) of the Plan.
Company Stock Option Plans shall have the meaning set forth in Section 3.07(a).
Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.
Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.
Optioned Shares means the shares of Common Stock that are issued pursuant to the exercise of the Options;
Incentive Option means an Option which by its terms is to be treated as an “incentive stock option” within the meaning of Section 422 of the Code.
Cash Surrender Value means an amount that equals, at any specified time, the cash surrender value as determined under the terms of the Policy.
Option Grant Date means, as to any Stock Option, the latest of:
Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.
Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.
transfer value means the value of a transferred vote calculated in accordance with rules STV47.4 or STV47.7. 42. Arrangements for counting of the votes 42.1 The returning officer is to make arrangements for counting the votes as soon as is practicable after the close of the poll. 42.2 The returning officer may make arrangements for any votes to be counted using vote counting software where:
Non-Statutory Stock Option means a right to purchase Common Stock granted to an Eligible Recipient pursuant to Section 6 of the Plan that does not qualify as an Incentive Stock Option.
Optioned Stock means the Common Stock subject to an Option.
Top-Up Option has the meaning set forth in Section 1.04(a).
Replacement Option has the meaning ascribed thereto in Section 2.2(c).
Maximum Basic Grant Amount’ has the same meaning as set out in item 1 of Schedule 1 of HESA;
Nonqualified Stock Option means an Option that is not an Incentive Stock Option.
Investment Option means any of the guaranteed investments and variable investment funds available under the Plan.
