Order Specific Terms for Products, such as Product identities, prices, discounts, quantities, dates, and any unique provisions which apply only to a particular order, will be set forth in the variable-content portions of each order entered into by the parties (such as your purchase order form, Vendor’s order form, an order addendum, an order exhibit, or a statement of work). The Order-Specific Terms, once entered into by the parties, together with the applicable terms of this Agreement, whether referenced in the order or not, constitute an “Order” under this Agreement. If there are any conflicts between the Order-Specific Terms and the provisions of this Agreement, then the provisions of this Agreement shall apply and take precedence over the conflicting provisions of the Order-Specific Terms with respect to that Order (i.e., if the parties wish to deviate from the provisions of this Agreement with respect to a particular Order or set of Orders or a particular Product or set of Products, then the parties will need to, separate and apart from the applicable Order-Specific Terms, enter into a written mutually-signed amendment to this Agreement which expressly provides that it is amending this Agreement and which expressly sets forth what the amended provisions are). Other than with respect to the Order-Specific Terms, provisions on your purchase order forms or on Vendor’s order forms (such as preprinted terms and conditions typically found on their reverse side) shall not apply and are superseded in their entirety by the provisions of this Agreement. This Agreement and Orders under it may be changed only by written agreement of the parties. Examples of Order Specific Terms in a sentence

  • Title to all other hardware provided as part of Services will pass to Customer as specified in the Order Specific Terms for Sale of Products and Subscription Licenses.

  • Such termination may be subject to fees as stated in the applicable Order Specific Terms.

  • Customer shall receive a license to use Deliverables as described in the applicable Order Specific Terms.

  • Warranties for Products and Services provided to Customer shall be set forth in the Order Specific Terms.

  • In return for the payment of applicable fees and subject to compliance with the terms of the SLSA, these Order Specific Terms, and the applicable Service Description or Service Agreement Supplement, Avaya will provide the Support or Managed Services (collectively “Services”) options selected by Customer for Supported Products at the Supported Sites set forth in the applicable Order.

  • Customer may terminate the Order for convenience if and as set forth in the applicable Order Specific Terms or Supplemental Terms.

  • The supply of the Services referred to above shall be regulated by the Schedules to this Agreement and any Order Contracts, which shall include any Order Specific Terms.

  • These Order Specific Terms apply to Orders for any Products and/or Subscription Licenses.

Related to Order Specific Terms

  • Service Specific Terms has the meaning given in the G Suite Agreement or Complementary Product Agreement, as applicable, or, if Customer’s G Suite Agreement does not define “Service Specific Terms”, means the then-current terms specific to one or more Core Services for G Suite set out at xxxxx://xxxxxx.xxxxxx.xxx/terms/service-terms/.

  • Product Specific Terms means the terms applicable to a specific item of Licensed Software as set out in Schedule 2;

  • Specific Terms The terms and conditions as set out in clause 34 onwards which apply in respect of the specific Equipment hired by the Customer.

  • Contract Specifications means the principal trading terms in CFD (for example Spread, Swaps, Lot Size, Initial Margin, Necessary Margin, Hedged Margin, the minimum level for placing Stop Loss, Take Profit and Limit Orders, financing charges, charges etc) for each type of CFD as determined by the Company from time to time. The Contract Specifications appear on the Website.

  • Contract Specific Goals means the subcontracting goals for MBE and WBE participation established for a particular contract.

  • Specific Terms and Conditions means the specific terms and conditions as described in section 6.1 (and, in relation to an Agreement between Envestra and a Network User, means the Specific Terms and Conditions which form part of that Agreement).

  • technical specification means a document that prescribes technical requirements to be fulfilled by a product, process or service;

  • Technical Specifications A specification in a document defining the characteristics of a product or a service, such as the quality levels, the environmental and climate performance levels, the design for all needs, including accessibility for people with disabilities, and the evaluation of conformity, of product performance, of the use of the product, safety or dimensions, as well as requirements applicable to the product as regards the name by which it is sold, terminology, symbols, testing and test methods, packaging, marking or labelling, instructions for use, the production processes and methods at every stage in the life cycle of the supply or service, as well as the evaluation and conformity procedures;

  • Delivery Schedule means the schedule for the delivery of Services as set forth in attached Annex 3.

  • The Specification means the Specification annexed to or issued with G.T.C.C. and shall include the schedules & drawings attached thereto as well as all samples and pattern, if any.

  • Standard Specifications means a compilation in book form of specifica- tions approved for general application and repetitive use;

  • Project Specific IPRs means: (a) IPRs in the Services provided by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of the Contract and all updates and amendments of these items created during the Contract Period; and/or (b) IPRs arising as a result of the provision of the Services by the Supplier (or by a third party on behalf of the Supplier) under the Contract, [including the rights in or to any database developed and supplied by the Supplier to the Customer in accordance with the terms of this Contract;

  • Statement of Work means the description of activities performed in completing the Project, as specified in the Contract and as may be amended.

  • Service Specifications means the following documents, as applicable to the Services under Your order: (a) the Oracle Cloud Hosting and Delivery Policies, the Program Documentation, the Oracle service descriptions, and the Data Processing Agreement described in this Schedule C; (b) Oracle’s privacy policies; and (c) any other Oracle documents that are referenced in or incorporated into Your order. The following do not apply to any non-Cloud Oracle service offerings acquired in Your order, such as professional services: the Oracle Cloud Hosting and Delivery Policies, Program Documentation, and the Data Processing Agreement. The following do not apply to any Oracle Software: the Oracle Cloud Hosting and Delivery Policies, Oracle service descriptions, and the Data Processing Agreement.

  • Project specific information means such part of the Instructions to Consultants used to reflect specific project and assignment conditions.

  • Contract Schedule The list (as such list may be amended from time to time) identifying each Contract constituting part of the corpus of the Trust Fund as of the Cut-off Date, and which (a) identifies each Contract as either a Fixed Rate Contract or Adjustable Rate Contract and by contract number and name and address of the Obligor and (b) sets forth as to each Contract (i) the unpaid principal balance as of the related Transfer Date determined by giving effect to payments received prior to the related Transfer Date, (ii) the amount of each scheduled payment due from the Obligor, and (iii) the APR.

  • Template Order Form means the template form in Annex 1 to Framework Schedule 4 (Template Order Form and Template Call Off terms);

  • Service Specification means and include detailed description, statements to technical data, performance characteristics, and standards (Indian as well as) as applicable and as specified in the Contract as well as those specifications relating to Industry standards and codes applicable to the performance of the work, work performance quality and the specifications affecting the works or any additional specification required to be produced by the DCO to meet the design criteria.

  • Purchase Order (PO) means a written offer made by a purchaser to a supplier formally stating the terms and conditions of a proposed transaction.

  • Specification Schedule means the Schedule containing details of the Specification.

  • Service Order Form means our standard Service Order Form for Services, or any other order form that we agree with you in writing that incorporates the provisions of this DPA;

  • MSAA Indicator Technical Specifications document means, as the context requires, either or both of the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Indicator Technical Specifications November 5, 2018 Version 1.3” and the document entitled “Multi-Sector Service Accountability Agreement (MSAA) 2019-20 Target and Corridor-Setting Guidelines” as they may be amended or replaced from time to time;

  • Product Specifications means the specifications, features and/or terms of any "Contract" (as defined in the LME Rules) listed for trading on the LME, as described in the LME Rules;

  • Product Specification means a product specification for a Medical Device set out in Schedule 2;

  • ATTACHMENT C STANDARD STATE PROVISIONS FOR CONTRACTS AND GRANTS

  • TENDER SPECIFICATIONS means the Scope of Work, Special Instructions / Conditions, Technical specifications/requirement , Appendices, Site Information and drawings pertaining to the work and any other relevant reference in the Tender Document for which the Bidder are required to submit their offer.
