Borrower agrees to pay to the Administrative Agent, for its own account, the administrative fees set forth in the Original Fee Letter and the Amendment Fee Letter and/or such other fees payable in the amounts and at the times separately agreed upon between Borrower and the Administrative Agent (the "ADMINISTRATIVE AGENT FEES").
This Commitment Letter, together with the Fee Letter, embodies the entire agreement and understanding among the parties hereto and your affiliates with respect to the Facilities and supersedes all prior agreements and understandings relating to the subject matter hereof, including, without limitation the Original Commitment Letter and the Original Fee Letter.
