Other Investor Shares definition

Other Investor Shares means (a) all shares of Common Stock originally issued to, or issued with respect to shares originally issued to, or held by, an Other Investor, whenever issued, including all shares of Common Stock issued upon the exercise, conversion or exchange of any Options, Warrants or Convertible Securities and (b) all Options, Warrants and Convertible Securities originally granted or issued to an Other Investor (treating such Options, Warrants and Convertible Securities as a number of shares of Common Stock equal to the number of Equivalent Shares represented by such Options, Warrants and Convertible Securities for all purposes of this Agreement except as otherwise specifically set forth herein).

Other Investor Shares will mean (a) all shares of capital stock of the Company originally issued to, or issued with respect to shares originally issued to, or held by, an Other Investor, whenever issued, including without limitation all shares of Common Stock issued upon the exercise, conversion or exchange of any Options, Warrants or Convertible Securities and (b) all Options, Warrants and (except for purposes of Section 4.1) Convertible Securities originally granted or issued to an Other Investor (treating such Options, Warrants and Convertible Securities as a number of Shares equal to the number of Equivalent Shares represented by such Options, Warrants and Convertible Securities for all purposes of this Agreement except as otherwise specifically set forth herein).

Other Investor Shares means Investor Shares issued to, or held by, an Other Investor.

Examples of Other Investor Shares in a sentence

• Any Equity Interests of Echo acquired subsequent to the date hereof by a Stockholder shall be subject to the terms and conditions of this Agreement and shall be deemed for all purposes hereof to be Sponsor Shares, Other Investor Shares or Management Shares hereunder of like kind with the shares then held by the acquiring holder.

• Each certificate representing Other Investor Shares will also have the following legend endorsed conspicuously thereupon: The shares of stock represented by this certificate were originally issued to, or issued with respect to shares originally issued to, the following Other Investor: .

More Definitions of Other Investor Shares

Other Investor Shares means all Shares held by an Other Investor. Any Other Investor Shares that are Transferred by the holder thereof to such holder’s Permitted Transferees shall remain Other Investor Shares in the hands of such Permitted Transferee.

Other Investor Shares means all Stockholder Shares issued or issuable to any Other Investor.

Other Investor Shares means (a) all shares of Common Stock originally issued to, or owned by, an Other Investor, in each case, whenever issued, including all shares of Common Stock issued upon the exercise, conversion or exchange of any Options, Warrants or Convertible Securities and (b) all Options, Warrants and Convertible Securities originally granted or issued to an Other Investor (treating such Options, Warrants and Convertible Securities as a number of Company Shares equal to the number of Equivalent Shares represented by such Options, Warrants and Convertible Securities for all purposes of this Agreement except (i) for purposes of Section 4.4 and Article V, if applicable, and (ii) as otherwise specifically set forth herein).

Other Investor Shares means all shares of Common Stock originally issued to, or issued with respect to shares originally issued to, or held by, an Other Investor, whenever issued, subject to Section 3.1.

Other Investor Shares means the Ordinary Shares of the Company to be issued to the Other Investors as contemplated by, and in accordance with, Section 4.1.

Other Investor Shares means shares of Common Stock previously issued by the Company to the SSF Investors and certain other Investors (including issued as a result of subsequent warrant exercises) and initially registered for resale by the Company on its Registration Statement on Form S-1 (File No. 333-177073) (the “Original Registration Statement”) and deregistered by the Company pursuant to Post-Effective Amendment No. 4 to the Original Registration Statement, in each case, to the extent such shares of Common Stock are held by the SSF Investors and such other Investors, as applicable, on the date hereof.
