Other SUBI Assets means the Origination Trust Assets allocated to any SUBI other than the Transaction SUBI.
Other SUBI Assets shall have the meaning specified in Section 10.17 of this Agreement.

In the event that, notwithstanding the foregoing, the Transferee is deemed to have any interest in any Trust Assets or Other SUBI Assets that may be acquired by the Transferor from time to time, the Transferee agrees to fully subordinate all claims it may be deemed to have against the Trust Assets allocated to the UTI Portfolio and each other SUBI Portfolio.
In the event that, notwithstanding the foregoing, the Transferee is deemed to have any interest in any Other SUBI Assets that may be acquired by the Transferor from time to time, the Transferee agrees that such interest shall be subordinate to the interests of holders of other securities to the payment of which such Other SUBI Assets shall be dedicated.
