Parent Circular definition

Parent Circular has the meaning assigned in Section 6.03(a).

Parent Circular means the notice of the Parent Special Meeting and accompanying management information circular, including all schedules, appendices and exhibits to, and information incorporated by reference in, such management information circular, to be sent to the Parent Shareholders in connection with the Parent Special Meeting, as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

Parent Circular means the notice of the Parent Meeting as part of a proxy statement pursuant to Section 14(a) of the U.S. Exchange Act, including all schedules, appendices and exhibits to, and information incorporated by reference in, such proxy statement, to be sent to the Parent Shareholders in connection with the Parent Meeting, if necessary, as amended, supplemented or otherwise modified from time to time in accordance with the terms of this Agreement.

• Notwithstanding the foregoing provisions of this Section 4.20, no representation or warranty is made by Parent, Merger Sub or Merger Sub II with respect to information or statements made or incorporated by reference in the Form F-4, the Proxy Statement/Prospectus, any Parent Circular or the Parent Prospectus or any amendments or supplements thereto which were not supplied by or on behalf of Parent, Merger Sub or Merger Sub II.

• The Company shall make available all information, and provide such other assistance, as Parent may reasonably request in connection with the preparation, filing and distribution of the Parent Circular and the Parent Prospectus, and will cause its accountants and 52 other relevant professional advisors to cooperate with Parent as is reasonably necessary to provide Parent with the financial and other information required for purposes of the Parent Circular and the Parent Prospectus.

• Parent shall include the Parent Recommendation in the Parent Circular and the Parent Board shall solicit the approval of this Agreement and the issuance of the Parent Ordinary Shares underlying the Parent ADSs constituting the Merger Consideration by holders of Parent Ordinary Shares, except to the extent that the Parent Board shall have made a Parent Adverse Recommendation Change as permitted by Section 5.03(b).

More Definitions of Parent Circular

Parent Circular means the proxy statement of Parent, including any amendments, supplements or appendices thereto, to be sent to Parent Common Stockholders in connection with the Parent Meeting;

Parent Circular means the notice of the Parent Shareholder Meeting and accompanying management information circular, to be prepared in connection with the Parent Shareholder Meeting.

Parent Circular has the meaning set forth in Section 3.17.

Parent Circular shall have the meaning set forth in Section 7.11(b)(i).

Parent Circular means the management information circular of Parent prepared and mailed in accordance with Canadian Securities Laws in respect of the Parent Extraordinary General Meeting.

Parent Circular means notice of any meeting of the stockholders of Parent and the accompanying management information circular, including all schedules, appendices and exhibits to, and information incorporated by reference in, such management information circular, to be sent to the stockholders of Parent in connection with any such meeting of the stockholders of Parent, as amended, supplemented or otherwise modified from time to time. For greater certainty, nothing in this Agreement shall restrict the Clairvest Investors from voting its securities of the Parent with respect to matters other than Board Election.

Parent Circular means the stockholders circular to be sent to Parent’s stockholders in connection with the Parent Stockholders Meeting, including any amendments or supplements thereto.
