Parent Guarantee definition

Parent Guarantee means the guarantee of payment of the Securities by the Parent Guarantor pursuant to the terms of this Indenture.
Parent Guarantee means a guarantee given by a Related Body Corporate of the Access Holder who has an Acceptable Credit Rating in substantially the same form set out in the Access Undertaking; Passenger Priority means reasonable priority and certainty of access for rail passenger services delivered in accordance with clause 3.8;
Parent Guarantee means the Note Guarantee of Parent.

  • If any provision of this Parent Guarantee is declared invalid, unenforceable or illegal by the courts of a competent jurisdiction, such provision may be severed and such invalidity, unenforceability or illegality shall not prejudice or affect the validity, enforceability and legality of the remaining provisions of this Parent Guarantee.

  • E3.1 This Agreement is the entire agreement between the City and the Guarantor regarding the subject matter of this Parent Guarantee, and supersedes any previous agreements, discussions, negotiations and understandings.

  • E9.1 The City and the Guarantor each agree to from time to time do all such acts and provide such further assurances and instruments as may reasonably be required in order to carry out the provisions of this Parent Guarantee according to their spirit and intent; but this Section E.9 shall not in any event be construed as obligating the City to amend or enact any by-law or regulation.

  • If any such provision of this Parent Guarantee is invalid, unenforceable or illegal, the Parties shall, acting in good faith, promptly negotiate new provisions to eliminate such invalidity, unenforceability or illegality and to restore this Parent Guarantee as near as possible to its original intent and effect.

Parent Guarantee means any guarantee by the Parent Guarantor of obligations of the Company under the Notes and this Indenture.
