Parent LTIP definition

Parent LTIP means the omnibus equity plan of the Parent approved by shareholders of the parent on September 30, 2020;

Parent LTIP shall have the meaning set forth in Section 2.3(b).

Parent LTIP means Parent’s 2014 Equity Incentive Plan for Entities, as amended, and Parent’s 2014 Equity Incentive Plan for Individuals, as amended.

• For the avoidance of doubt, the terms and conditions applicable to such Converted RSUs shall be the same as the terms and conditions set forth in the Company Stock Plans and the RSU Agreements pursuant to which such Converted RSUs were granted, notwithstanding that the Converted RSUs will be issued under the Parent LTIP.

• The New LTIP Awards shall be subject to vesting and other terms and conditions that are substantially similar to the corresponding Unvested Parent LTIP Awards.

• All new incentive awards granted under the Parent LTIP pursuant to Section 3.5(a) shall be designed to be compliant with or exempt from, as applicable, Section 409A of the Code.

More Definitions of Parent LTIP

Parent LTIP means Parent’s Long-Term Incentive Plan.
