Parent PSUs definition

Parent PSUs means a restricted stock unit granted pursuant to the Parent Equity Plan that is subject to performance-based vesting.
Parent PSUs means all restricted shares of Parent Common Stock subject to performance-based vesting conditions, whether granted pursuant to the Parent Equity Plan or otherwise.
Parent PSUs means the performance share units issued under the LTIPs.

  • Since the Measurement Date and through the date of this Agreement, Parent has not (A) issued any shares of Parent Common Stock (other than upon the exercise or settlement (as applicable) of Parent Options, Parent RSUs or Parent PSUs outstanding as of the Measurement Date) or (B) granted any Parent Equity Awards or similar awards.

  • The Parties shall take all actions necessary or appropriate so that certain Parent Options, Parent RSUs, Parent PSUs, Parent DLTP Awards and Parent SUs (each as defined below) and the CEO Parent Performance Shares shall be adjusted effective as of the Distribution as set forth in clauses (iii) through (viii) of this “General Electric Equity and Equity-Based Awards” subsection of Appendix E, as set forth below.

  • From the close of business on September 5, 2018 to the date of this Agreement, there have been no issuances by Parent of shares of capital stock or voting securities of, or other equity interests in, Parent other than the issuance of Parent Common Stock upon the exercise of Parent Stock Options or upon the vesting or settlement of Parent RSUs or Parent PSUs, in each case, outstanding at the close of business on September 5, 2018 and in accordance with their terms in effect at such time.

  • From the close of business on the Parent Capitalization Date to the date of this Agreement, Parent has not issued or granted any Parent Securities, other than pursuant to the vesting and settlement of Parent Restricted Shares or Parent RSUs or Parent PSUs, in each case, which were granted prior to the date of this Agreement.

  • From the close of business on the Parent Capitalization Date to the date of this Agreement, there have been no issuances by Parent of shares of capital stock or voting securities of, or other equity interests in, Parent other than the issuance of Parent Common Stock upon the exercise of Parent Stock Options or the settlement of Parent RSUs and Parent PSUs, in each case outstanding at the close of business on the Parent Capitalization Date.

  • Such SpinCo LTIPs shall have substantially the same terms as those of the applicable Plan as of immediately prior to the Distribution under which the corresponding Parent Options, Parent RSUs, Parent PSUs, CEO Parent Performance Shares or CFO Parent PSUs were originally granted.

  • All of the outstanding shares of capital stock of Parent have been duly authorized and validly issued, and are fully paid and nonassessable and are not subject to any preemptive right, and all shares of Parent Class A Common Stock which may be issued pursuant to the settlement of Parent RSUs or Parent PSUs pursuant to the Parent Incentive Plans will be, when issued in accordance with the terms thereof, duly authorized, validly issued, fully paid and nonassessable and not subject to any preemptive right.

Related to Parent PSUs

  • Parent RSU means each restricted stock unit representing the right to vest in and be issued shares of Parent Common Stock by Parent, whether granted by Parent pursuant to a Parent Equity Plan, assumed by Parent in connection with any merger, acquisition or similar transaction or otherwise issued or granted and whether vested or unvested.

  • Company PSUs means the outstanding performance share units of the Company issued pursuant to: (i) the Company Legacy Equity Incentive Plan; and (ii) the Company PRSU Plan.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Company PSU means a restricted stock unit with respect to Common Stock that was granted subject to performance-based vesting conditions.

  • Company RSU means each restricted stock unit award relating to shares of Company Common Stock granted under any Company Equity Plan that is outstanding immediately prior to the Effective Time and subject solely to service-based vesting requirements.

  • Parent Award means the Electrical Electronic and Communication Contracting Industry (State) Award.

  • Company RSUs means any restricted stock units granted under any of the Company Equity Plans.

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Parent Option means any option to purchase Parent Common Stock which was granted pursuant to a Parent Option Plan.

  • Company Equity Award means a Company Stock Option or a Company Restricted Share granted under one of the Company Stock Plans, as the case may be.

  • Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.

  • Equity Award means all incentive stock options, non-statutory stock options, shares of restricted stock, restricted stock units or other incentive equity awards in respect of shares of the Company’s equity securities that have been or will be granted to you by the Company.

  • Company Restricted Stock Unit means a restricted stock unit issued pursuant to any of the Company Equity Plans that remains outstanding as of immediately prior to the Effective Time (other than Company Performance Restricted Stock Units).

  • Company Equity Awards means the Company RSU Awards and the Company PSU Awards.

  • Parent Options means options or other rights to purchase shares of Parent Common Stock issued by Parent.

  • Company Restricted Share means each restricted share of Company Common Stock outstanding as of the Effective Time granted pursuant to any equity or compensation plan or arrangement of the Company.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Parent Preferred Stock means the preferred stock, par value $0.01 per share, of Parent.

  • Company Warrant means a warrant to purchase shares of Company Capital Stock.

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Company Warrants means warrants to purchase shares of Company Capital Stock.

  • Company Option means an option to purchase shares of Company Common Stock granted under the Company Incentive Plan.

  • Company Share Plans means, collectively, (i) the 2018 Share Incentive Plan of the Company, which replaced the Company’s 2010 Share Incentive Plan in its entirety, and (ii) the Post-IPO Share Incentive Plan of the Company.

  • Merger Sub Common Stock means the common stock, par value $0.01 per share, of Merger Sub.
