Parent Share Value definition

Parent Share Value means the product of (x) the average of the closing middle market quotation of a Parent Share on the LSE as reported in the Daily Official List of the London Stock Exchange for each of the ten consecutive Trading Days ending on the day on which the Stock Options are exercised pursuant to Section 3 multiplied by (y) Exchange Rate.
Parent Share Value means the greater of (i) (A) the average of the volume weighted average prices of one share of Parent Common Stock for the ten consecutive trading days immediately preceding, but not including, the Revaluation Date, as reported by Bloomberg, L.P., or (B) if the Parent Common Stock is not then listed on a United States national securities exchange, the average of the last quoted bid prices for Parent Common Stock in the over-the-counter market as reported by Pink OTC Markets Inc. or another similar organization for the ten consecutive trading days immediately preceding, but not including, the Revaluation Date, and (ii) the most recent publicly reported book value per share of Parent Common Stock immediately preceding the Revaluation Date.
Parent Share Value means an amount equal to the volume weighted average of the per share daily closing prices of a Parent Common Share on the NYSE, as reported by The Wall Street Journal, for the fifteen consecutive trading days ending on and including the second trading day prior to the date on which the Company Stockholder Meeting is held.

Examples of Parent Share Value in a sentence

  • No fractional shares of Parent Common Stock shall be issued in respect of any CERs, and any Holder that is entitled to receive a fraction of a share of Parent Common Stock (taking into account all CERs held by such Holder) shall instead receive cash with respect to any fractional share of Parent Common Stock in an amount equal to the product of (I) such fractional part of a share of Parent Common Stock multiplied by (II) the Parent Share Value.

More Definitions of Parent Share Value

Parent Share Value means the average closing price per share, rounded to the nearest cent, of Parent Common Stock on the NASDAQ for the consecutive period of ten (10) trading days immediately preceding (but not including) the Closing Date.
