Parity Guarantee definition

Parity Guarantee means any guarantee issued by the Guarantor from time to time of any equity preferred or preference shares issued by any subsidiary of the Guarantor from time to time, if such guarantee ranks pari passu with the Guarantor's obligations under this Guarantee.
Parity Guarantee means any guarantee, indemnity or other contractual support arrangement entered into by the Issuer in respect of securities (regardless of name or designation) issued by a Subsidiary or an Undertaking or other securities (regardless of name or designation) of the Issuer or such Subsidiary or Undertaking which rank on a winding-up (faillissement of vereffening na ontbinding) of the Issuer or in respect of distributions or payments thereon pari passu with the Securities;
Parity Guarantee means any guarantee, indemnity or other contractual support arrangement entered into by the Issuer or the Guarantor, as applicable, in respect of securities (regardless of name or designation) issued by a Subsidiary or an Undertaking which rank pari passu with the Step-Up Fixed-Floating Securities on a winding-up (faillissement of vereffening na ontbinding) of the Issuer or the Guarantor, as applicable, or in respect of distributions or payment of dividends or any other payments thereon, excluding however (i) the Comparable Floating Securities and the Comparable Fixed Securities proposed to be issued by the Issuer simultaneously with the Step-Up Fixed-Floating Securities and (ii) the €400,000,000 Floating Rate Noncumulative Guaranteed Trust Capital Securities (ISIN: USU3456R1006) issued by Fortis Floating Rate Capital Funding Trust, the €200,000,000 Fixed Rate Annual Noncumulative Guaranteed Trust Capital Securities (ISIN: USU3456N1091) issued by Fortis Fixed Rate Capital Funding Trust and the €50,000,000 Fortis Fixed Rate Quarterly Noncumulative Guaranteed Trust Capital Securities (ISIN: USU3456P1040) issued by Fortis Fixed Rate Quarterly Capital Funding Trust and the underlying Capital B Securities issued by Fortis Capital Funding LP, all of which securities have been guaranteed by the Guarantor;

  • If, upon any such winding-up, liquidation or bankruptcy, the assets available for repayment are insufficient to pay in full the amounts payable with respect to the Notes and any other Parity Instruments and/or Parity Guarantee, the Noteholder and the holders of such Parity Instruments and Parity Guarantee will share rateably in any such distribution of surplus assets of the Issuer in proportion to the full respective amounts to which they are entitled.

More Definitions of Parity Guarantee

Parity Guarantee means any guarantee, indemnity or other contractual support arrangement entered into by the Company of securities (regardless of name or designation) issued by a Subsidiary or Undertaking that ranks in the Company’s Winding Up or in respect of distributions or payments of dividends and/or any other amounts thereunder by the Company pari passu with the ING Perpetual Hybrid Capital Securities. Parity Guarantee includes the Company’s guarantees of the 8.439% Non-cumulative Guaranteed Trust Preferred Securities issued by ING Capital Funding Trust III on December 15, 2000.
Parity Guarantee. ’ means any guarantee, indemnity or other contractual support arrangement we enter into with respect to securities (regardless of name or designation) issued by any of our subsidiaries or Undertakings that rank on our winding-up (faillissement or vereffening na ontbinding) or in respect of distributions or payments thereon equally with the Capital Securities.

Parity Guarantee includes the Company's guarantees (collectively the "TRUST PREFERRED SECURITIES GUARANTEES") of the: - 7.70% Non-cumulative Guaranteed Trust Preferred Securities issued by ING Capital Funding Trust I; - 9.20% Non-cumulative Guaranteed Trust Preferred Securities issued by ING Capital Funding Trust II; and
