PCS Group definition

PCS Group means, as of any date from and after November 23, 1998:

PCS Group has the meaning specified in the Company's Articles of Incorporation.

PCS Group means PCS and its Affiliates engaged in the Processing of Personal Data. “Sub-processor” means any Processor engaged by PCS or a member of the PCS Group.

Subject to Sections 1.05 and 1.08 and any rights of offset that WWC may have under this Agreement, WWC shall pay, or cause to be paid, all income taxes, interest, and penalties due with respect to income earned or recognized by the Western PCS Group.
Western PCS shall indemnify and hold WWC and all members of its Affiliated Group (other than the members of the Western PCS Group) harmless from and against all federal, state, local, foreign and other taxes and penalties and interest related thereto allocable to any member of the Western PCS Group pursuant to Sections 1.01 through 1.10 of this Agreement and taxes, penalties and interest of the members of the Western PCS Group where such items are not otherwise subject to the provisions of the Agreement.
WWC shall determine and allocate to each member of the Western PCS Group its income taxes and related penalties and interest as if it were a separate and independent taxpayer.
Except as otherwise provided in this Section 1.10, WWC and its duly appointed representatives shall have the right on behalf of all members of the Western PCS Group to supervise or otherwise coordinate any tax examination process and to negotiate, resolve, settle, and contest any asserted tax deficiencies or assert and prosecute any claim for tax refund.
WWC shall prepare and timely file, or shall cause the preparation and timely filing of, all federal, state, and other income tax returns ("Tax Returns") of the Western PCS Group.

PCS Group shall have the meaning assigned thereto in the Proxy Statement.

PCS Group has the meaning set forth in the Initial Charter Amendment.

PCS Group shall have the meaning set forth in the Initial Charter Amendment prior to the filing of the Subsequent Charter Amendment, and in the Subsequent Charter Amendment after the filing of the Subsequent Charter Amendment, in each case pursuant to K.S.A. Section 17-6003(d).

PCS Group has the meaning specified in the Company's Articles of --------- Incorporation, as currently proposed to be amended.

PCS Group means any company or entity a majority of whose shares are owned or controlled, directly or indirectly, by Prime Collateralised Securities (PCS) Europe a.s.b.l.;
