Examples of PECM Purchasers in a sentence

  • Notwithstanding anything to the contrary in this Agreement, and for the avoidance of doubt, it is understood and agreed between the parties, that (i) the PECM Purchasers shall not be entitled to more than one Purchaser Board Observer at any time following the date hereof, and (ii) the Hudson Bay Purchaser shall not be entitled to more than one Purchaser Board Observer at any time following the date hereof.

  • The Company hereby agrees to pay to the Original Purchasers all reasonable out of pocket fees and reasonable out of pocket expenses incurred by the Original Purchasers in the drafting, review, negotiation and closing of the documents and transactions contemplated hereby, including the reasonable fees and disbursements of Ropes & Gray, as counsel to the PECM Purchasers and the Hudson Bay Purchaser.

  • Purchasers is defined in Section 12.3.1.

  • Original Purchasers means RBC Capital Markets, LLC, Chicago, Illinois, and the other original purchasers designated by the Fiscal Officer in the Certificate of Award.

  • Other Selling Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their Other Shares in certain registrations hereunder.

  • U.S. Purchaser is (a) any U.S. Person that purchased Units, (b) any person that purchased Units on behalf of any U.S. Person or any person in the United States, (c) any purchaser of Units that received an offer of the Units while in the United States, (d) any person that was in the United States at the time the purchaser’s buy order was made or the subscription agreement for Units was executed or delivered;

  • Initial Purchasers shall have the meaning set forth in the preamble.

  • Purchaser/ User means ultimate recipient of goods and services

  • Selling Shareholder has the meaning set forth in Section 3.04(a).

  • Purchaser means the organization purchasing the goods.

  • Placement Agents shall have the meaning set forth in the preamble.

  • Forward Purchaser has the meaning set forth in the introductory paragraph of this Agreement.

  • Original Purchaser means the original purchaser of the Bonds designated by the Fiscal Officer in the Certificate of Award.

  • Controlling Shareholders means controlling shareholders of the Company, as such term is defined in the Ordinance.

  • Second Closing has the meaning set forth in Section 2.2.

  • Investor is defined in the preamble to this Agreement.

  • Placement Agent means X.X. Xxxxxxxxxx & Co., LLC.
