Performance Accelerated Restricted Stock Units means the Performance Accelerated Restricted Stock Units awarded to the Participant pursuant to the Award Certificate and Section 6(d) of the Plan, where each such Performance Accelerated Restricted Stock Unit is denominated as one phantom Share and represents conditional unfunded and unsecured promise by the Company to deliver either a Share or a cash payment pursuant to Section 3 below.

Examples of Performance Accelerated Restricted Stock Units in a sentence

  • In connection with the Original Agreements, the Company granted to the Executive pursuant to the Incentive Plan, the number of Performance Accelerated Restricted Stock Units as shown on Exhibit A (the “Restricted Shares”).

  • Notwithstanding anything contained herein to the contrary, each person who is a Director on the Effective Date, may make a deferral election that will be effective for Performance Accelerated Restricted Stock Units granted after the election and in the year the Effective Date occurs, provided it is made within 30 days after the Effective Date.

  • A person who becomes a Director after the Effective Date may make a deferral election within 30 days after becoming a Director; such election, however, shall be effective only with respect to Performance Accelerated Restricted Stock Units granted after the date such election is made.

  • In the event a payout in the form of Shares would entitle a Participant to a fractional share of Company’s common stock, such fractional share shall be rounded up to the next whole number of Shares and the Performance Accelerated Restricted Stock Units, as the case may be, to be paid out in cash, if any, shall be reduced by the same amount as the fractional increase to the payout in Shares.

  • The Performance Accelerated Restricted Stock Units that are deferred pursuant to a Participant’s deferral election shall be credited to the Participant’s Account.

  • Neither the Participant nor any other person shall have any rights as a stockholder of the Company under the Plan with respect to the Performance Accelerated Restricted Stock Units or Dividend Equivalent Stock Units credited to the Participant’s Account until the shares of Common Stock are issued to the Participant or the beneficiary of the Participant.

  • The terms and conditions of the Performance Accelerated Restricted Stock Units (as defined below) are contained in the Award Certificate (as defined below) evidencing the grant of such Performance Accelerated Restricted Stock Units, this Award Agreement (as defined below) and in the Arch Chemicals, Inc.

  • A Director may elect to participate in the Plan by filing a written election with the Company, on such form as may be prescribed by the Board, to defer 50% or 100% of Director’s grant of Performance Accelerated Restricted Stock Units made in any calendar year.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Deferred Stock Units means the number of hypothetical Shares subject to an Election.

  • Company Restricted Stock Unit means any restricted stock unit award subject to service-based vesting, payable in shares of Company Common Stock or the value of which is determined with reference to the value of shares of Company Common Stock, whether granted under a Company Stock Plan or otherwise.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Stock Units means investment units under the Deferred Delivery Plan, each of which is deemed to be equivalent to one share of Stock.

  • Performance-Based Restricted Stock means Shares issued or transferred to an Eligible Individual under Section 9.2.

  • Restricted Stock Units means an Award of stock units subject to such restrictions and conditions as the Administrator may determine at the time of grant.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Performance Stock means a Target Number of Shares granted pursuant to Section 10(a) of the Plan.

  • Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).

  • Restricted Stock Unit Award means a right to receive shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(b).

  • Deferred Stock Unit means a right granted to a Participant under Article 9 to receive Shares (or the equivalent value in cash or other property if the Committee so provides) at a future time as determined by the Committee, or as determined by the Participant within guidelines established by the Committee in the case of voluntary deferral elections.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.

  • RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”

  • Company Restricted Stock Award means an award granted under a Company Equity Plan that grants the holder a share of Company Common Stock subject to the terms and conditions of the applicable award agreement and the applicable Company Equity Plan.

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.
