Permitted Agreement definition

Permitted Agreement means any agreement between Seller or any of its Affiliates and any Third Person pursuant to which Seller or any of its Affiliates grants to such Third Person a license or sublicense under the Product IP (a) to conduct research, or (b) on a non-exclusive basis in the ordinary course of business (e.g., manufacturing agreements, material transfer agreements and consulting agreements), that in all cases do not grant any rights to market, sell or commercialize a Product.
Permitted Agreement means any agreement relating to the sale or change of control (whether by merger, sale of stock or other structure) of the Borrower where the terms of such agreement provide for the payment in full of the Obligations concurrently with the consummation of the transactions contemplated thereby .
Permitted Agreement means an agreement between Xxxx and any other Person to Market or promote Generic Product after the License Effective Date in accordance with the Authorization and License, or as permitted in Section 4.1.
