Permitted End User means your own end-user licensees, including but not limited to, your employees to whom you license and distribute a Product (or portions thereof) solely as part of Your Integrated Product in accordance with the redistribution terms specified in section 4 (Product-Specific Terms).

  • Operator shall confirm service availability to a Permitted End User with such system prior to installation.

  • Client agrees that agreement between Client and the Permitted End Users (“End-User Agreement”) shall contain the following provisions, in substantially the form set forth in this Section 2 before a Permitted End User is authorized to access the Hosted Programs.

  • Notwithstanding any other provisions of this Agreement: (i) Licensee shall bear the expenses of maintenance, repair and replacement of Standard Customer Packages if such maintenance, repair or replacement is required because of misuse, negligence, theft or vandalism; and (ii) Operator shall not be required to eliminate or reduce interference caused by Licensee or a Permitted End User.

  • Without limiting the foregoing, Licensee shall not resell or otherwise provide services to any end user that is not a Permitted End User.

  • Permitted Encumbrances means:

  • Excluded Equipment means (i) defibrillators, enhanced emergency medical kits and other medical equipment, (ii) airphones and other components or systems installed on or affixed to the Airframe that are used to provide individual telecommunications or electronic entertainment to passengers aboard the Aircraft, (iii) galley carts, beverage carts, waste containers, liquor kits, food tray carriers, ice containers, oven inserts, galley inserts, and other branded passenger convenience or service items, (iv) any items, equipment or systems leased by Company or any Permitted Lessee (other than items, equipment, or systems that are leased from Company pursuant to the applicable Lease) or owned by Company or any Permitted Lessee subject to a conditional sales agreement or a security interest (other than the security interest granted under the Indenture), and (v) cargo containers.

  • Covered Equipment means, unless otherwise specified in a Schedule, Covered Property:

  • Permitted Additional Materials means information that is not ABS Informational and Computational Materials and (x) that are referred to in Section 4(d)(12)), (y) that constitute Certificate price, yield, weighted average life, subscription or allocation information, or a trade confirmation, or (z) otherwise with respect to which the Depositor has provided written consent to the Underwriter to include in a Free Writing Prospectus.   • Existing Customer means an individual who has purchased goods or services from a person, who is the recipient of a voice communication from that person, and who either paid for the goods or services within the 12 months preceding the voice communication or has not paid for the goods and services at the time of the voice communication because of a prior agreement between the person and the individual.

  • Service Equipment means any equipment, Software, systems, cabling and facilities provided by or on behalf of Verizon and used to facilitate provision of the Services at a Customer Site. Ownership of the Service Equipment does not pass to Customer. Service Equipment does not include Verizon Facilities.

  • Customer Equipment means hardware, software, systems, cabling and facilities provided by you and used in conjunction with the Equipment that we supply to you in order to receive the Services;

  • Permitted Existing Liens means the Liens on assets of the Company and its Subsidiaries identified as such on Schedule 1.1.3 to this Agreement.

  • Designated Equipment means any equipment designated in the SLA, upon which the Licensed System may be used; Documentation means operating manuals and other printed materials which assist the Customer to use the Licensed System including any technical and user software material as published by Pentana Solutions; Escalation Request is as set out in the SLA;

  • Contractor-acquired property means property acquired, fabricated, or otherwise provided by the Contractor for performing a contract, and to which the Government has title.

  • The Works/Project means the works to be executed or done under this contract.

NYISO, the Connecting Transmission Owner and the Developer must agree as to what constitutes Stand Alone System Upgrade Facilities and identify them in Appendix A to this Agreement.

  • Customer User means an employee of Customer, a Customer Affiliate or Business Partner.
