Permitted Mandatory Prepayments definition

Permitted Mandatory Prepayments means with respect to any Indebtedness, any requirement to prepay such Indebtedness (i) in connection with any asset sale or event of loss (with associated reinvestment rights), (ii) in respect of Refinancing Indebtedness, (iii) in respect of Indebtedness not permitted to be incurred by the terms of such Indebtedness, (iv) in connection with any cash sweep provisions customary in the determination of the Borrower for term loan B facilities or (v) in connection with any change of control.
Permitted Mandatory Prepayments means with respect to any Indebtedness, any requirement to prepay such Indebtedness (i) in connection with any asset sale or event of loss (with associated reinvestment rights no less favorable than those set forth in this Agreement and which do not require a prepayment from any Asset Sale or Recovery Event from amounts required to prepay Term Loans), (ii) from the proceeds of Indebtedness incurred in violation of the agreement governing such Indebtedness or (iii) in connection with any change of control.
Permitted Mandatory Prepayments means any payments upon the Second Lien Indebtedness occurring as a result of the Borrower's sale, transfer, casualty, condemnation or other disposition of any of the Collateral (other than an Excluded Asset Disposition) to the extent that (a) the Senior Lenders provide their prior written consent or agreement that the net proceeds thereof, or a portion of such net proceeds, is not required to be applied as a mandatory prepayment under the Senior Credit Agreement, or (b) any net proceeds of such sale, transfer or other disposition remain after application to the First Lien Indebtedness to the extent required by the Senior Credit Agreement. Notwithstanding any other term or condition hereof, no obligation or agreement shall be implied or imposed upon the Senior Lenders to consent to or allow any such Permitted Mandatory Prepayment.

  • Mandatory Prepayments has the meaning given to such term in Section 1.2(b).

  • Mandatory Prepayment Event means any of the following:

  • Permitted Prepayment Date means the Business Day after the second (2nd) anniversary of the first Payment Date

  • Prepayment Asset Sale means any Disposition by the Borrower or its Restricted Subsidiaries made pursuant to Section 6.07(h).

  • Voluntary Prepayment means a prepayment of principal of Term Loans pursuant to Section 2.05(a) in any year to the extent that such prepayment reduces the scheduled installments of principal due in respect of Term Loans as set forth in Section 2.07 in any subsequent year.

  • Debt Incurrence Prepayment Event means any issuance or incurrence by the Borrower or any of the Restricted Subsidiaries of any Indebtedness (excluding any Indebtedness permitted to be issued or incurred under Section 10.1 other than Section 10.1(w)(i)).

  • Required Prepayment Date as defined in Section 2.15(c).

  • ECF Prepayment Amount has the meaning assigned to such term in Section 2.11(b)(i).

  • Term Loans means, collectively, the Tranche A Term Loans and the Tranche B Term Loans.

  • Reinvestment Prepayment Date with respect to any Reinvestment Event, the earlier of (a) the date occurring twelve months after such Reinvestment Event and (b) the date on which the Borrower shall have determined not to, or shall have otherwise ceased to, acquire or repair assets useful in the Borrower’s business with all or any portion of the relevant Reinvestment Deferred Amount.

  • Borrower Solicitation of Discounted Prepayment Offers means the solicitation by any Company Party of offers for, and the subsequent acceptance, if any, by a Lender of, a voluntary prepayment of Term Loans at a discount to par pursuant to Section 2.05(a)(v)(D).

  • Refinancing Revolving Loans means one or more Classes of Revolving Loans that result from a Refinancing Amendment.

  • Permitted Asset Dispositions means the following Asset Dispositions:
