Permitted Marks definition

Permitted Marks means the trademarks, service marks, trade names, and related trade dress and logos set forth in Exhibit B.
Permitted Marks means those trademarks (including any trademark derivative of or similar to such trademarks) described in Schedule D (Part 2);

Examples of Permitted Marks in a sentence

  • All uses of the Permitted Marks, and all goodwill associated therewith, shall inure solely to the benefit of Producer.

  • Purchaser shall use the Permitted Marks solely in accordance with Producer’s trademark usage guidelines and quality control standards issued from time to time.

  • Entry cannot defame or invade intellectual property rights of any person, living or deceased, or otherwise infringe upon any copyrighted, trademarked, or patented works (other than Permitted Marks) or person’s personal or proprietary rights.

  • No clarification will be entertained after 2.00 pm of February 08, 2021.

  • Upon termination of the license, KEY shall immediately cease and desist from all use of the Permitted Marks.

  • The license to use the Permitted Marks set forth herein may not be assigned, transferred, or sublicensed by KEY without the written consent of Vendor.

  • Any unauthorized transfer of the Permitted Marks shall be null and void.

  • The license to use the Permitted Marks shall terminate upon the earlier of (a) the termination of the Agreement or (b) the termination of this Rider by one party giving the other 60 days’ prior written notice.

  • KEY will, at its own expense, indemnify and defend Vendor from and against and will hold Vendor harmless from any Claims resulting from, arising out of or related to KEY’s use of the Vendor Permitted Marks in breach of this Rider provided such Claims are not caused by the breach by Vendor of this Rider.

  • Upon receipt of such notice, the receiving Party shall thereafter limit its use of any Trademarks of the other Party to such Permitted Marks during the Term and immediately cease any and all use of any other Trademarks other than the Permitted Marks owned by the other Party.

Related to Permitted Marks

  • Restricted materials means pesticides established as restricted materials under Title 3, California Code of Regulations, section 6400.

  • Prohibited Materials means any products, substances or materials, or any combination of them which at the time of specification:

  • Adapted Material means material subject to Copyright and Similar Rights that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring permission under the Copyright and Similar Rights held by the Licensor. For purposes of this Public License, where the Licensed Material is a musical work, performance, or sound recording, Adapted Material is always produced where the Licensed Material is synched in timed relation with a moving image.

  • Permitted Additional Materials means information that is not ABS Informational and Computational Materials and (x) that are referred to in Section 4(d)(12)), (y) that constitute Certificate price, yield, weighted average life, subscription or allocation information, or a trade confirmation, or (z) otherwise with respect to which the Depositor has provided written consent to the Underwriter to include in a Free Writing Prospectus. As used herein with respect to any Free Writing Prospectus, “Pool Information” shall mean the information with respect to the characteristics of the Mortgage Loans and administrative and servicing fees, as provided by or on behalf of the Depositor to the Underwriter at the time most recent to the date of such Free Writing Prospectus.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Harvested Material means the grain or fodder from crops of the Licensed Varieties grown from Seed or Retained Seed.

  • Excluded Equipment means (i) defibrillators, enhanced emergency medical kits and other medical equipment, (ii) airphones and other components or systems installed on or affixed to the Airframe that are used to provide individual telecommunications or electronic entertainment to passengers aboard the Aircraft, (iii) galley carts, beverage carts, waste containers, liquor kits, food tray carriers, ice containers, oven inserts, galley inserts, and other branded passenger convenience or service items, (iv) any items, equipment or systems leased by Company or any Permitted Lessee (other than items, equipment, or systems that are leased from Company pursuant to the applicable Lease) or owned by Company or any Permitted Lessee subject to a conditional sales agreement or a security interest (other than the security interest granted under the Indenture), and (v) cargo containers.

  • Permitted Assets means any and all properties or assets that are used or useful in a Permitted Business (including Capital Stock in a Person that is a Restricted Subsidiary and Capital Stock in a Person whose primary business is a Permitted Business that shall become a Restricted Subsidiary immediately upon the acquisition of such Capital Stock by the Issuer or by a Restricted Subsidiary, but excluding any other securities).

  • permitted client means any of the following:

  • Permitted Licenses are (A) licenses of over-the-counter software that is commercially available to the public, and (B) non-exclusive and exclusive licenses for the use of the Intellectual Property of Borrower or any of its Subsidiaries entered into in the ordinary course of business, provided, that, with respect to each such license described in clause (B), (i) no Event of Default has occurred or is continuing at the time of such license; (ii) the license constitutes an arms-length transaction, the terms of which, on their face, do not provide for a sale or assignment of any Intellectual Property and do not restrict the ability of Borrower or any of its Subsidiaries, as applicable, to pledge, grant a security interest in or lien on, or assign or otherwise Transfer any Intellectual Property; (iii) in the case of any exclusive license, (x) Borrower delivers ten (10) days’ prior written notice and a brief summary of the terms of the proposed license to Collateral Agent and the Lenders and delivers to Collateral Agent and the Lenders copies of the final executed licensing documents in connection with the exclusive license promptly upon consummation thereof, and (y) any such license could not result in a legal transfer of title of the licensed property but may be exclusive in respects other than territory and may be exclusive as to territory only as to discrete geographical areas outside of the United States; and (iv) all upfront payments, royalties, milestone payments or other proceeds arising from the licensing agreement that are payable to Borrower or any of its Subsidiaries are paid to a Deposit Account that is governed by a Control Agreement.

  • Publicity Material means the promotional gifts, catalogues, pamphlets and all and any advertising and publicity material whatsoever which an Exhibitor wishes to display, distribute or use at the Exhibition.

  • Printed Materials means all artwork and mechanicals set forth on the disc label of the PlayStation Disc relating to any of the Licensed Products and on or inside any Packaging for the Licensed Product, and all instructional manuals, liners, inserts, trade dress and other user information to be inserted into the Packaging.

  • Permitted License means any non-exclusive license of patent rights of Borrower or its Subsidiaries so long as all such Permitted Licenses are granted to third parties in the Ordinary Course of Business, do not result in a legal transfer of title to the licensed property, and have been granted in exchange for fair consideration.

  • Recycled material means any material that would otherwise be a useless, unwanted or discarded material except for the fact that the material still has useful physical or chemical properties after serving a specific purpose and can, therefore, be reused or recycled.

  • Product Trademarks means the Trademark(s) to be used by Adapt or its Affiliates or its or their respective Sublicensees for the Commercialization of Products and any registrations thereof or any pending applications relating thereto (excluding, in any event, any trademarks, service marks, names or logos that include any corporate name or logo of the Parties or their Affiliates).

  • Permitted Country means any country listed on Schedule 4 to the Participation Agreement.

  • Excluded Personal Property means the following:

  • Permitted Users means the Customer’s personnel who are authorised to access and use the Service on the Customer’s behalf in accordance with clause 6.6. a person includes an individual, a body corporate, an association of persons (whether corporate or not), a trust, a government department, or any other entity.

  • Permitted User means a person other than an employee of the Company who is authorized by the Company pursuant to and in accordance with Section 2.1(a)(ii) and all applicable Documentation to access and use one or more specific Component Systems.

  • Communications Equipment means the communications equipment of the Licensee and its affiliates, including, without limitation, cabinets, racks, electronic equipment and other similar equipment.

  • Permitted Uses shall have the meaning set forth in Section 7.1.2.
