Placed in Service Failure Period definition

Placed in Service Failure Period means a period commencing on any Calculation Date when the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for the related Collection Period and ending on the next succeeding Calculation Date when the New Construction Solar Asset Event Ratio is less than [***]% for the related Collection Period; provided, that no Placed in Service Failure Period shall be in effect if the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for a Collection Period immediately succeeding a Takeout Transaction that includes a material portion of New Construction Solar Assets included in the Borrowing Base immediately prior to such Takeout Transaction (as determined by the Administrative Agent in its reasonable discretion).
Placed in Service Failure Period means a period commencing on any Calculation Date when the New Construction Solar Asset Event Ratio is equal to or greater than 15% for the related Collection Period and ending on the next succeeding Calculation Date when the New Construction Solar Asset Event Ratio is less than 15% for the related Collection Period; provided, that no Placed in Service Failure Period shall be in effect if the New Construction Solar Asset Event Ratio is equal to or greater than 15% for a Collection Period immediately succeeding a Takeout Transaction that includes a material portion of New Construction Solar Assets included in the Borrowing Base immediately prior to such Takeout Transaction (as determined by the Administrative Agent in its reasonable discretion).
Placed in Service Failure Period means a period commencing on any Calculation Date when the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for the related Collection Period and ending on the next succeeding Calculation Date when the New Construction Solar Asset Event Ratio is less than [***]% for the related Collection Period; provided, that no Placed in Service Failure Period shall be in effect if the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for a Collection Period immediately succeeding a Takeout Transaction that includes a material portion of New Construction Solar [***] = Certain information has been excluded from this exhibit because it is both not material and would likely cause harm to the company if publicly disclosed. Assets included in the Borrowing Base immediately prior to such Takeout Transaction (as determined by the Administrative Agent in its reasonable discretion).

Related to Placed in Service Failure Period

  • Service Failure means a failure by the Contractor to provide the Services in accordance with any individual service level described above (measured on a monthly/quarterly/annual basis)

  • Daily Failure Amount means the product of (x) .005 multiplied by (y) the Closing Sale Price of the Common Stock on the applicable Share Delivery Date.

  • Volume Failure means, with respect to a particular date of determination, the aggregate daily dollar trading volume (as reported on Bloomberg) of the Common Stock on the Principal Market on any Trading Day during the twenty (20) Trading Day period ending on the Trading Day immediately preceding such date of determination (such period, the “Volume Failure Measuring Period”), is less than $2,000,000 (as adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the Subscription Date). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during such Volume Failure Measuring Period.

  • Listing Failure Event means that:

  • Milestone Failure means a failure by the Grant Recipient fully to achieve any Milestone by the relevant Milestone Date;

  • Service Level Failure means a failure to perform the Software Support Services fully in compliance with the Support Service Level Requirements.

  • Supply Failure shall have the meaning set forth in Section 7.6.1.

  • Price Failure means, with respect to a particular date of determination, the VWAP of the Common Stock on any Trading Day during the twenty (20) Trading Day period ending on the Trading Day immediately preceding such date of determination fails to exceed the Floor Price (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the Subscription Date). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during any such measuring period.

  • Rectification Period means the period of time set out in Section 4.3 of this RFP during which a Proponent will be permitted to rectify its Proposal to satisfy the mandatory submission requirements of this RFP.

  • Extended Reporting Period means a designated period of time after a claims-made policy has expired during which a claim may be made and coverage triggered as if the claim has been made during the policy period.

  • Availability Termination Date means, as to either Borrower, the earliest of (a) the Maturity Date for such Borrower, (b) the reduction of the Borrower Sublimit of such Borrower to zero pursuant to Section 2.8.3 or termination of the obligation to make Loans to, or issue Letters of Credit for the account of, such Borrower pursuant to Section 8.1 and (c) the date of termination in whole of the Aggregate Commitment and the Commitments pursuant to Section 2.8.3 or Section 8.1.

  • extended reduction period means the period for which a person is in receipt of an extended reduction in accordance with paragraph 89, 96 or 101;

  • Reporting Failure has the meaning set forth in Section 2.4.

  • Peak Period means the time between 6 a.m. and 10 p.m. (April through September) or between 7 a.m. and 11 p.m. (October through March) on all days except Saturdays and Sundays, which daily time period will be subject to change from time to time at the Company's option. This change would occur after no less than ten (10) days notice has been given to all Customers who would be affected, and to the Commission.

  • Initial compliance period means the three-year compliance period that begins January 1, 1993, except for the MCLs for dichloromethane, 1,2,4-trichlorobenzene, 1,1,2-trichloroethane, benzo(a)pyrene, dalapon, di(2-ethylhexyl)adipate, di(2-ethyl- hexyl)phthalate, dinoseb, diquat, endothall, endrin, glyphosate, hexachlorobenzene, hexachlorocyclopentadiene, oxamyl, picloram, simazine, 2,3,7,8-TCDD, antimony, beryllium, cyanide, nickel, and thallium, as they apply to a supplier whose system has fewer than 150 service connections, for which it means the three-year compliance period that began on January 1, 1996.

  • Event Period shall have the meaning assigned to such term in Section 7.2 hereof.

  • Termination Assistance Period means the period commencing upon the expiration or termination of this Agreement and each Statement of Work and expiring six (6) months thereafter, as such period may be extended by the Parties.
