Performance Failure definition

Performance Failure shall have the meaning as set forth in Section 2.03(b)(i)(1).

Performance Failure means any failure of the Fund Manager, administrator and/or the custodian (and/or other relevant service provider, as determined by the Calculation Agent) of a Fund to perform any of its material obligations under the Fund Rules or the liquidation, termination of appointment or resignation of the Fund Manager, administrator, custodian and/or a relevant service provider of such Fund;

Performance Failure in transaction processing means performance in the “overall” category that is below the Standard Performance level. “Performance Failure” in telephone service quality means performance in any two of the three measured categories that is below the Standard Performance level.

Examples of Performance Failure in a sentence

• If a single triggering event directly causes two (2) or more Performance Failures in any month; and but for such event, none of such Performance Failures would have occurred, then SARS shall be entitled to receive only a single Service Credit for a single Performance Failure (which SARS may select in its sole discretion).

• For each Performance Failure the all-inclusive monthly amount payable to the Service Provider shall be reduced by the applicable Service Credits.

• The Service Provider shall pay any Service Credits due to SARS with respect to each Performance Failure, as set out in RFP attached hereto and as further described below in Clause 4.6.2. In no event shall the total, aggregated amount of Service Credits payable by the Service Provider to SARS for any one month period for all service components exceed the prescribed Amount at Risk.

• Any failure by the Service Provider to perform any of the functions set forth in Clause 4.5, during a month will constitute a Performance Failure in itself.

• Applicable Service Credits will be levied against the first monthly invoice following the month in which the Performance Failure occurred.

More Definitions of Performance Failure

Performance Failure in telephone service quality means performance in any two of the three measured categories that is below the Standard Performance level.
