Placing Agent definition

Placing Agent means both GWM Group, Inc. and GWM LTD. "Portfolio" means the Series Assets.
Placing Agent s obligations: Against compliance by the Vendor with its obligations under Clause 4.1 and subject to Clause 8, the Placing Agent (or its nominees or agents) shall, in respect of the Placing Shares on or before 4:00 p.m. on the Placing Completion Date make or procure the making of payments to the Vendor in cleared funds in Hong Kong dollars of the aggregate Placing Price of the Placing Shares (less the amounts referred to in Clause 5.1), the payment of which shall constitute a complete discharge of the obligations of the Placing Agent to place the Placing Shares hereunder and such payment shall be made for value on the Placing Completion Date to such bank account held with a bank in Hong Kong as may be notified by the Vendor to the Placing Agent no later than 12:00 noon one Business Day before Placing Completion Date.

Examples of Placing Agent in a sentence

  • Any transaction properly carried out by the Placing Agent pursuant to this Agreement shall constitute a transaction carried out by the Placing Agent at the request of the Company and as its agent and not on account of or for the Placing Agent.
