Platform Launch definition

Platform Launch means the publicized product launch of the Platform to the general public, including the ability of the general public to use Tokens as the primary means of exchange for transactions on the Platform. If the Client does not raise more than $40 million in connection with its offer and sale for cash of (i) one or more Simple Agreements for Future Tokens (the “Additional SAFTs”), which Additional SAFTs will entitle the holders thereof to receive Tokens under certain circumstances, and/or, (ii) Tokens, in the event that the Client determines to offer and sell Tokens in lieu of or in addition to Additional SAFTs in connection with its fundraising efforts (collectively, the “Offering”), prior to May 31, 2018, ACI shall be required to return the Works Fees and Additional Fees to the Client and the Client and ACI shall be required to negotiate in good faith the amount of each of such fee (such requirement to negotiate is referred to herein as the “Renegotiation Obligation”).
Platform Launch means completing the development and testing of the Serenity Financial Strategy product and bona fide public release of Serenity Financial Strategy product as a fully functioning and secure Strategy client that conforms to Serenity Financial protocols, the protocols including the Strategy product being accessible via a subscription payable in SERENITY tokens, wherein the Serenity Financial Strategy product being authorized to engage in activities that may be licensed and that may be conducted via authorized brokers, investment funds, financial institutions, stock exchanges, cryptocurreny exchanges and/or other legal entities or regulated bodies that are authorized to conduct their activities in select jurisdictions.
Platform Launch means the date of the public launch of the Coral Health Platform to the public as determined by the Company. Any proof of concept, minimum viable product, or reduced feature versions of Coral Health Platform that may be developed and deployed with select customers on an unpaid or paid trial basis will not constitute the Platform Launch.

More Definitions of Platform Launch

Platform Launch means the first date on which the Tokens issued during the Initial Token Generation Event can be used to engage in transactions on the Platform as more fully described in the Memorandum.

Startups often experience unexpected problems in the areas of product development, marketing, financing, and general management, among others, which frequently cannot be solved. In addition, startups often require substantial amounts of financing, which may not be available through institutional private placements, the public markets or otherwise. If Augmate has unsolvable problems achieving the Platform Launch, whether due to an inability to raise financing or otherwise, or does not survive until the Platform Launch, the value of your SAFT will be materially harmed.

Related to Platform Launch

  • Launch means the intentional ignition of the first-stage motor(s) of the Launch Vehicle intended to place or try to place a Launch Vehicle (which may or may not include any Transfer Vehicle, Payload or crew) from Earth:

  • Commercial Launch means the initial First Commercial Sale of a Product in the Territory.

  • Licensed Program means the executable processing programs of licensed information, which is composed of various modules in the Licensed Software package provided by the Licensor.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Launch Date has the meaning specified therefor in Section 2.02(b) of this Agreement.

  • Platform Services means the products and services that Platform Users receive from a Stripe Connect Platform, regardless of whether fees are charged (e.g., web development, customer support or hosting services).

  • Video programming means programming provided by, or generally considered comparable to programming provided by, a television broadcast station.

  • System Impact Study means an assessment by the Transmission Provider of (i) the adequacy of the Transmission System to accommodate a Completed Application, an Interconnection Request or an Upgrade Request, (ii) whether any additional costs may be incurred in order to provide such transmission service or to accommodate an Interconnection Request, and (iii) with respect to an Interconnection Request, an estimated date that an Interconnection Customer’s Customer Facility can be interconnected with the Transmission System and an estimate of the Interconnection Customer’s cost responsibility for the interconnection; and (iv) with respect to an Upgrade Request, the estimated cost of the requested system upgrades or expansion, or of the cost of the system upgrades or expansion, necessary to provide the requested incremental rights. “System Protection Facilities” shall refer to the equipment required to protect (i) the Transmission System, other delivery systems and/or other generating systems connected to the Transmission System from faults or other electrical disturbance occurring at or on the Customer Facility, and (ii) the Customer Facility from faults or other electrical system disturbance occurring on the Transmission System or on other delivery systems and/or other generating systems to which the Transmission System is directly or indirectly connected. System Protection Facilities shall include such protective and regulating devices as are identified in the Applicable Technical Requirements and Standards or that are required by Applicable Laws and Regulations or other Applicable Standards, or as are otherwise necessary to protect personnel and equipment and to minimize deleterious effects to the Transmission System arising from the Customer Facility.

  • Platform has the meaning specified in Section 6.02.

  • Development Plan has the meaning set forth in Section 3.2.

  • Product Schedule means the “Product Schedule” that forms part of the Contract.

  • Supported Web Browser means the current release from time to time of Microsoft Edge, Mozilla Firefox, Google Chrome or Apple Safari, or any other web browser that the Provider agrees in writing shall be supported;

  • Hosting Platform means a hosted infrastructure to run the Cloud Service.

  • Development Application means the development application identified in Item 5 of Schedule 1 and includes all plans, reports models, photomontages, material boards (as amended supplemented) submitted to the consent authority before the determination of that Development Application.

  • Research Results means any technical result acquired based on the Collaborative Research, including, but not limited to, any invention, idea, design, copyrightable work and know-how which relates to the purpose of the Collaborative Research.

  • Massive Multiauthor Collaboration Site (or “MMC Site”) means any World Wide Web server that publishes copyrightable works and also provides prominent facilities for anybody to edit those works. A public wiki that anybody can edit is an example of such a server. A “Massive Multiauthor Collaboration” (or “MMC”) contained in the site means any set of copyrightable works thus published on the MMC site.

  • Programme Date means the date of this Base Prospectus.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Customization means any customer-specific modification to software that requires changes to the software’s source code.

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.
