Powerlink Works definition

Powerlink Works has the meaning given in the Works Coordination Agreement.
Powerlink Works has the meaning given in clause 2.2. Pre-Existing IPR has the meaning given to that term in clause 15.1. Professional Indemnity Insurance Amount is as set out in item 2 of Schedule 6.

Examples of Powerlink Works in a sentence

  • The parties agree that no liquidated damages are payable by Powerlink under item 3.1 (“Powerlink Delay”) of this Schedule 2 (“Works”) for any delay to Completion of the Powerlink Works by the Target Completion Date caused by an event or events contemplated by this item 3.3 (“Delay affecting Powerlink”), except if Powerlink does not Complete the Powerlink Works by any applicable revised Target Completion Date.

  • The Co-ordination Committee will meet within seven Business Days of a party receiving such a notice to determine the impact on the Progress Schedule and the steps that may be required to ensure that the Powerlink Works are Completed by the Target Completion Date or a date as close to the Target Completion Date as possible.

  • The parties acknowledge that the Powerlink Works are for the purposes of providing the Transmission Services in accordance with this agreement.

  • The Customer must give Powerlink a notice (“Notice to Proceed”) stating the date from which Powerlink is to start performing the Powerlink Works.

  • Powerlink may change the Powerlink Works during construction without the Generator’s consent if, in Powerlink’s reasonable opinion, the change is not likely to have a material effect on the provision of Transmission Services to the Generator, any Works-related costs of the Generator, or the Target Completion Date for the Powerlink Works (“Minor Works Change”).

  • Powerlink may change the Powerlink Works during construction without the Bi- directional Service Provider’s consent if, in Powerlink’s reasonable opinion, the change is not likely to have a material effect on the provision of Transmission Services to the Bi-directional Service Provider, any Works-related costs of the Bi- directional Service Provider, or the Target Completion Date for the Powerlink Works (“Minor Works Change”).

  • Powerlink is not obliged to commission the Powerlink Works, connect or reconnect the Powerlink Assets or the Generator Facility where it has refused to connect or has disconnected under this clause 7 (“Disconnection or refusal to connect”) unless the Generator has remedied the Technical Breach or taken steps to avoid the recurrence of the threat to the Powerlink Assets or Power System Security to Powerlink’s reasonable satisfaction.

  • Powerlink may change the Powerlink Works during construction without the Customer’s consent if, in Powerlink’s reasonable opinion, the change is not likely to have a material effect on the provision of Transmission Services to the Customer, any Works-related costs of the Customer, or the Target Completion Date for the Powerlink Works (“Minor Works Change”).

  • If the Bi-directional Service Provider consents to a change to the Powerlink Works under item 4.3 (“Major Works Change) of this Schedule 2 (“Works”), the Co- ordination Committee must make appropriate changes to the relevant items mentioned in item 5.1 (“Co-ordination Committee”) of Schedule 2 (“Works”).

  • Powerlink must notify the Bi-directional Service Provider about any change to the Powerlink Works before the change is made.

Related to Powerlink Works

  • Technology means any and all technical information, specifications, drawings, records, documentation, works of authorship or other creative works, ideas, algorithms, models, databases, ciphers/keys, systems architecture, network protocols, research, development, and manufacturing information, software (including object code and source code), application programming interfaces (APIs), innovations, mask works, logic designs, circuit designs, technical data, processes and methods.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • SAP Technology Solution(s means SAP NetWeaver Foundation for Third Party Applications, SAP Business Technology Platform (excluding when used solely as a Connectivity App between an SAP Application and ERP), SAP Signavio Solutions and SAP Process Insights (including any renamed, prior and/or successor versions of any of the foregoing made generally available by SAP if any but excluding when any of the foregoing are used as a User Interface for ERP.

  • Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae, and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer databases or computer software documentation.

  • Technology Systems means the electronic data processing, information, record keeping, communications, telecommunications, hardware, third party software, networks, peripherals and computer systems, including any outsourced systems and processes, and Intellectual Property used by either party and its Subsidiaries or by a third party.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Business Systems means all Software, computer hardware (whether general or special purpose), electronic data processing, information, record keeping, communications, telecommunications, networks, interfaces, platforms, servers, peripherals, and computer systems, including any outsourced systems and processes, that are owned or used or held for use in the conduct of the Company Business.

  • Software means computer programs, whether in source code or object code form (including any and all software implementation of algorithms, models and methodologies), databases and compilations (including any and all data and collections of data), and all documentation (including user manuals and training materials) related to the foregoing.

  • Company Technology means all Technology owned or purported to be owned by the Company.

  • Computer Systems means computers and associated input and output devices, data storage devices, networking equipment, and back up facilities:

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Information Technology Systems means all information technology systems, Software, computers, workstations, databases, routers, hubs, switches, networks and other information technology equipment used or held for use in, or otherwise relating to, the Business.

  • Work/ works means work / works to be executed in accordance with the contract.

  • Telecommunications systems means voice, record, and data communications, including management information systems and local data networks that connect to external transmission media, when employed by Government agencies, contractors, and subcontractors to transmit—

  • Sewage works means all facilities for collecting, pumping, treating, and disposing of sewage.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean Xxxxx. • “you” and similar terms mean Client.

  • Alternative energy technology means equipment, component parts, materials, electronic devices, testing equipment, and related systems that are specifically designed, specifically fabricated, and used primarily for 1 or more of the following:

  • Owned Software means all computer, software or firmware programs, modules or libraries owned or purported to be owned by the Company or any of its Subsidiaries.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • New Technology means any invention, discovery, improvement, or innovation that was not available to the District on the effective date of the contract, whether or not patentable, including, but not limited to, new processes, emerging technology, machines, and improvements to or new applications of existing processes, machines, manufactures and software. Also included are new computer programs, and improvements to, or new applications of, existing computer programs, whether or not copyrightable and any new process, machine, including software, and improvements to, or new applications of, existing processes, machines, manufactures and software.

  • Development Tools means the development kits, programming tools, emulators and other materials that may be used in the development of Games under this Agreement.

  • Firmware means software sold or licensed only in conjunction with machines, designed for execution only on a machine with which it is provided, designed only for machines other than a dedicated computer, and embedded into or installed on the machine by the machine’s manufacturer or seller.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.
