Existing IPR definition

Existing IPR any and all intellectual property rights that are owned by or licensed to either Party and which have been developed independently of the Contract (whether prior to the date of the Contract or otherwise);
Existing IPR. Buyer Existing IPR and/or Supplier Existing IPR, as applicable in the context;
Existing IPR shall have the meaning set out in Section 5.1.

Examples of Existing IPR in a sentence

  • Except as expressly provided, nothing in this Agreement will affect the ownership of either Party’s Existing IPR or other Intellectual Property Rights or transfer, assign, license or grant any person any right, title or interest in or to a Party's Existing IPR or other Intellectual Property Rights.

  • The Subscriber hereby grants the CRA a licence to use any Existing IPR of the Subscriber for the purpose of fulfilling its obligations under this Agreement and royalty-free, non-exclusive licence to use any New IPR for the purpose of this Agreement and the provision of Services.

  • The CRA hereby grants the Subscriber a non-exclusive, perpetual, royalty-free, irrevocable, transferable worldwide licence to use, change and sub-license the CRA's Existing IPR to enable it and its sublicensees (which shall include any Approved Subsidiaries) to both: (a) receive, use and retain the Deliverables; and (b) use the New IPR.


More Definitions of Existing IPR

Existing IPR has the meaning set out in clause 4.1;
Existing IPR means any and all IPR that are owned by or licensed to either Party and which are or have been developed independently of the Contract (whether prior to the commencement of this Contract or otherwise);
