Existing IPR definition

Existing IPR any and all intellectual property rights that are owned by or licensed to either Party and which have been developed independently of the Contract (whether prior to the date of the Contract or otherwise);
Existing IPR. Buyer Existing IPR and/or Supplier Existing IPR, as applicable in the context;
Existing IPR shall have the meaning set out in Section 5.1.

  • For any Supplier Existing IPR in the Work Products, Supplier grants to EY, for its benefit and for the benefit of the other EY Network Members (or shall procure the direct grant of) a fully paid-up, worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to use, copy, modify sub-license, distribute, display and otherwise engage the Work Product.

  • To the extent that Pre- Existing IPR are embedded in any Goods resulting from the Services, Supplier grants, or undertakes to procure that the third party owner grants, Customer and its Affiliates a worldwide, irrevocable, transfera- ble, sub-licensable, non-exclusive, royalty-free license to use the Pre- Existing IPR as part of such Goods, including the right to improve, de- velop, market, distribute, sublicense or otherwise use such Pre-Existing IPR.

  • Nothing in this agreement will transfer ownership in Customer IPR or any Supplier Existing IPR.

  • For any Supplier Existing IPR in the Works, Supplier grants to EY, for its benefit and for the benefit of the other EY Network Members (or shall procure the direct grant of) a fully paid-up, worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to use, copy, modify sub-license, distribute, display and otherwise engage the Works.


More Definitions of Existing IPR

Existing IPR has the meaning set out in clause 4.1;
Existing IPR means any and all IPR that are owned by or licensed to either Party and which are or have been developed independently of the Contract (whether prior to the commencement of this Contract or otherwise);
Existing IPR means any and all Project Materials and/or Intellectual Property Rights other than the Project IPR to be provided, sold or licensed to Ferring for the Project, necessary for Ferring’ receipt or use of the Services or supplied to Ferring pursuant to this Agreement.
