Pricing Disclosure Material definition

Pricing Disclosure Material shall be defined in the Underwriting Agreement.
Pricing Disclosure Material means, as of the Pricing Effective Time, the most recent Preliminary Prospectus together with each Permitted Free Writing Prospectus filed or used by the Company on or before the Pricing Effective Time, other than a road show that is a Permitted Free Writing Prospectus under Rule 433 of the 1933 Act Regulations;
Pricing Disclosure Material as used herein shall mean either (i) a Permitted Free Writing with the final terms of the offering and the Offering Circular or (ii) the Pricing Supplement prepared or approved by the Company and the Offering Circular, in either case, in the last form conveyed to a purchaser prior to or simultaneously with the confirmation of sale. This Selling Agent Agreement amends and restates in its entirety (i) the Selling Agent Agreement dated as of February 13, 2004, between TVA and the agents referred to therein and (ii) the letter agreement between TVA and A.X. Xxxxxxx & Sons, Inc. dated as of January 5, 2005, under which TVA appointed A.X. Xxxxxxx & Sons, Inc. as an agent under the Selling Agent Agreement referred to in clause (i) of this paragraph.

  • The Pricing Effective Time shall occur when the Pricing Disclosure Material (as defined in the Underwriting Agreement) shall be available for delivery or communication to purchasers.

  • At the Pricing Effective Time, the several Underwriters propose to offer the Designated Securities for sale upon terms and conditions set forth in the Prospectus (as defined in Section 1(a) hereof) and in the Pricing Disclosure Material.

  • The Terms Agreement shall not be effective, and the Agents agree that no contracts of sale may be entered into by the Agents in respect of a sale of Notes as described in this section, until the Company has made the Pricing Disclosure Material available to the Agents and the Pricing Effective Time occurs.

  • There has been no material adverse change in the condition of the Company and its consolidated affiliates, taken as a whole, from that set forth in the Pricing Disclosure Material (excluding any amendments or supplements to the Pricing Disclosure Material since the Pricing Effective Time, if any) and the Prospectus (excluding any amendments or supplements to the Prospectus since the Pricing Effective Time, if any).

  • The Purchasing Agent will cause the Pricing Disclosure Material to be delivered to each of the other Agents and Selling Group members that purchased such Notes, and each of these, in turn, will, pursuant to the terms of the Selling Agent Agreement and the Master Selected Dealer Agreement, cause to be delivered a copy of the applicable Pricing Supplement or Permitted Free Writing Prospectus to each purchaser of Notes from such Agent or Selling Group member.

  • Make-Whole Redemption: At any time prior to February 1, 2030, make-whole redemption at the Treasury Rate (as defined in the Pricing Disclosure Material) + 45 basis points.

  • You are not authorized to give any information or to make any representation not contained in the Offering Circular, the Pricing Disclosure Material, or the documents incorporated by reference or specifically referred to in either thereof in connection with the offer and sale of the Bonds.

  • Disclosure Materials has the meaning set forth in Section 3.1(h).

  • Pricing Disclosure Package means any Issuer General Use Free Writing Prospectus issued at or prior to the Applicable Time, the Pricing Prospectus and the information included on Schedule 2-A hereto, all considered together.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • SEC Filings has the meaning set forth in Section 4.6.

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;

  • Disclosure Notice means a notice issued by or on behalf of the Company requiring disclosure of interests in shares pursuant to section 212 of the Act;

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Seller Information As defined in Subsection 34.04(a).

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Pricing Information means the information relating to (i) the number of Shares issued and (ii) the offering price of the Shares included on the cover page of the Prospectus.

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Company Financial Information As defined in Section 2(a)(ii).

  • Data Tape Information The information provided by the Originators as of the Cut-off Date to the Depositor or the Purchaser setting forth the following information with respect to each Mortgage Loan: (1) the Mortgagor's name; (2) as to each Mortgage Loan, the Scheduled Principal Balance as of the Cut-off Date; (3) the Mortgage Rate Cap; (4) the Index; (5) a code indicating whether the Mortgaged Property is owner occupied; (6) the type of Mortgaged Property; (7) the first date on which the Scheduled Payment was due on the Mortgage Loan and, if such date is not consistent with the Due Date currently in effect, such Due Date; (8) the "paid through date" based on payments received from the related Mortgagor;

  • Adverse Disclosure means any public disclosure of material non-public information, which disclosure, in the good faith judgment of the Chief Executive Officer or principal financial officer of the Company, after consultation with counsel to the Company, (i) would be required to be made in any Registration Statement or Prospectus in order for the applicable Registration Statement or Prospectus not to contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements contained therein (in the case of any prospectus and any preliminary prospectus, in the light of the circumstances under which they were made) not misleading, (ii) would not be required to be made at such time if the Registration Statement were not being filed, and (iii) the Company has a bona fide business purpose for not making such information public.

  • Risk Disclosure Statement means the document setting out general information in respect of the risks associated with utilising our financial products;

  • Continuing Disclosure Certificate means that certain Continuing Disclosure Certificate executed by the District and dated the date of issuance and delivery of the Bonds, as originally executed and as it may be amended from time to time in accordance with the terms thereof.

  • Disclosure Information As defined in the Pooling and Servicing Agreement.

  • Due Diligence Information means any information supplied to the Supplier by or on behalf of the Customer prior to the Call Off Commencement Date;

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • ABS Informational and Computational Material means any written communication as defined in Item 1101(a) of Regulation AB under the 1933 Act and the 1934 Act, as may be amended from time to time.

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Statement of Additional Information means, respectively, the form of prospectus and statement of additional information with respect to the Fund filed by the Investment Company as part of the Registration Statement, or as they may be amended or supplemented from time to time.

  • disclosure period means the period commencing on 16 July 2012 (being the date 12 months prior to the commencement of the Offer Period) and ending on the disclosure date;

  • Form 8-K Disclosure Information As defined in Section 11.07.
