Projected Sources. As defined in Section 5.3.
Projected Sources has the meaning assigned to such term in the Senior Credit Agreement.
Projected Sources for any Test Period, with respect to DW Animation and its Subsidiaries, the sum of (a) cash held by DW Animation and its Subsidiaries on the relevant Test Date and (b) the aggregate amount, without duplication and to the extent not already deducted in the definition of "Projected Uses", of cash projected by DW Animation in good faith to be received during such Test Period by DW Animation or any of its Subsidiaries from the following sources: (i) Unutilized Commitments to the extent Revolving Credit Loans could be borrowed thereunder on the relevant Test Date without resulting in a Default or Event of Default; (ii) other available commitments to make advances to DW Animation or any of its Subsidiaries during such Test Period and commitments to make payments of royalties to DW Animation or any of its Subsidiaries during such Test Period so long as, in each case, such commitments are subject to no conditions other than (x) performance by DW Animation or the relevant Subsidiary of the agreements giving rise to such commitments or (y) the passage of time; (iii) accounts receivables to be paid to DW Animation or any of its Subsidiaries during such Test Period; (iv) cash collections to be received during such Test Period (determined by reference to the ultimates used in calculating any component of Borrowing Availability) in respect of any completed and released film or television product; (v) cash collections to be received during such Test Period (determined on a break even basis) in respect of any uncompleted or completed but unreleased film or television product which is projected to be completed (if then uncompleted) and released during such Test Period; and (vi) distributions DW Animation or any of its Subsidiaries is entitled to receive during such Test Period from any Joint Ventures so long as (x) such entitlement is subject to no condition other than (1) performance by

  • Affected source means a source that includes one or more affected units.

  • Forecast means the hourly forecast of (a) the total electric energy production of the Generating Facility (in MWh) when the Generating Facility is not PIRP-eligible or Buyer is not Scheduling Coordinator net of the Site Host Load and Station Use, or (b) the available total generation capacity of the Generating Facility (in MW) when the Generating Facility is PIRP-eligible and Buyer is Scheduling Coordinator net of the Site Host Load and Station Use.

  • Projected actual emissions means the maximum annual rate, in tons per year, at which an existing emissions unit is projected to emit a regulated NSR pollutant in any one of the 5 years (12-month period) following the date the unit resumes regular operation after the project, or in any one of the 10 years following that date, if the project involves increasing the emissions unit’s design capacity or its potential to emit that regulated NSR pollutant, and full utilization of the unit would result in a significant emissions increase, or a significant net emissions increase at the major stationary source.

  • Affected System Operator means an entity that operates an Affected System or, if the Affected System is under the operational control of an independent system operator or a regional transmission organization, such independent entity.

  • Affected System means an electric system other than the Transmission Provider’s Transmission System that may be affected by a proposed interconnection or on which a proposed interconnection or addition of facilities or upgrades may require modifications or upgrades to the Transmission System.

  • Financial Product means any securities, futures contracts or leveraged foreign exchange contracts as defined under the SFO. Regarding “leveraged foreign exchange contracts”, it is only applicable to those traded by persons licensed for Type 3 regulated activity.

  • Cash Flow Forecast means a 13-week cash flow forecast for the then applicable period, which shall include, among other things, anticipated cash collections and receipts and anticipated disbursements for each calendar week covered thereby.

  • Landed Resources means when the Contractor or its Sub-contractor causes foreign nationals to be brought to the United Kingdom, to provide the Services.

  • Product Group or “the Group” means a group of lotteries that has joined together to offer a product pursuant to the terms of the Multi-State Lottery Agreement and the Product Group’s own rules.

  • Extended school year services means special education and related services that are provided to a child with a disability and meet the standards of the State of Wisconsin.   • PJM Region Peak Load Forecast means the peak load forecast used by the Office of the Interconnection in determining the PJM Region Reliability Requirement, and shall be determined on both a preliminary and final basis as set forth in Tariff, Attachment DD, section 5.

  • Clinical experience means providing direct services to individuals with mental illness or the provision of direct geriatric services or special education services. Experience may include supervised internships, practicums, and field experience.

  • Products and Services means the products and/or services to be sold by Vendor hereunder as identified and described on Attachment A hereto and incorporated herein, as may be updated from time to time by Vendor to reflect products and/or services offered by Vendor generally to its customers.

  • Budget means a resource, expressed in financial terms, proposed by the Board for the purpose of carrying out, for a specific period, any or all of the functions of the Trust.

  • Restricted Services means services of any kind or character comparable to those Executive provided to the Company during the eighteen (18) month period immediately preceding Executive’s last date of employment with the Company.

  • Pricing Information means the information relating to (i) the number of Shares issued and (ii) the offering price of the Shares included on the cover page of the Prospectus.

  • Annual Projections is defined in Section 6.2(a).

  • Benchmarking Information means information generated by Portfolio Manager, as herein defined including descriptive information about the physical building and its operational characteristics.

  • Forecasts means the quantity of Items or Services that Buyer reasonably anticipates it may purchase during a specified time.

  • Financial exploitation means a breach of a fiduciary duty by an actor’s unauthorized expenditure of funds entrusted to the actor for the benefit of the vulnerable adult or by an actor’s failure to provide food, clothing, shelter, health care, therapeutic conduct or supervision, the failure of which results or is likely to result in detriment to the vulnerable adult. Financial exploitation also includes: the willful use, withholding or disposal of funds or property of a vulnerable adult; the obtaining of services for wrongful profit or advantage which results in detriment to the vulnerable adult; the acquisition of a vulnerable adult’s funds or property through undue influence, harassment, duress, deception or fraud; and the use of force, coercion, or enticement to cause a vulnerable adult to perform services against the vulnerable adult’s will for the profit or advantage of another.

  • Financial Projections has the meaning provided in Section 5.07(b).

  • Interconnection Feasibility Study means either a Generation Interconnection Feasibility Study or Transmission Interconnection Feasibility Study.
