Protester Action definition

Protester Action means any action taken or threatened to be taken by any person or persons protesting against the carrying out of any part of the Operations including construction of the New Works (or any part thereof) or of roads in general which directly or indirectly affects performance of the Operations including without limitation action or threatened action which results in:
Protester Action means any picketing, demonstration, blockade or other protester action (other than as a result of industrial action which affects only the employees of the Project Company or its Contractors or in respect of matters other than those arising from this Agreement or the Project to be constructed pursuant to this Agreement) taking place on the Project Site, or directly affecting access to the Project Site.   • Good Faith Contest means the contest of an item if: (1) the item is diligently contested in good faith, and, if appropriate, by proceedings timely instituted; (2) adequate reserves are established with respect to the contested item; (3) during the period of such contest, the enforcement of any contested item is effectively stayed; and (4) the failure to pay or comply with the contested item during the period of the contest is not likely to result in a Material Adverse Change.

  • Civil action means all suits or claims of a civil nature in a state or federal court, whether cognizable as cases at law or in equity or admiralty. "Civil action" does not include any of the following:

  • Threatened litigation as used herein shall include governmental investigations and civil investigative demands. “Litigation” as used herein shall include administrative enforcement actions brought by governmental agencies. The Contractor must also disclose any material litigation threatened or pending involving Subcontractors, consultants, and/or lobbyists.
