PROVIDER Employees. Unless the Cover Page or the Project Plan expressly specifies otherwise, VENDOR will not initiate contact or communication with a PROVIDER employee (except PROVIDER’s Project Manager) without PROVIDER’s express prior written consent in each instance.

Examples of PROVIDER Employees in a sentence

  • To the extent any PROVIDER Employees perform or support the performance of the Services on other than an exclusive basis (including all employees indirectly supporting the performance of the Services by providing administrative services, including legal, human resources, compliance and other services, (“Non-exclusive Employees”), PROVIDER and CUSTOMER shall use commercially reasonable efforts to allocate such Non-exclusive Employees in an equitable manner between the parties.

  • As of the date hereof, PROVIDER represents and warrants that to its knowledge there is no law or existing contractual obligation of PROVIDER that would materially impair the exercise of the Carve-Out Option by CUSTOMER with relation to any material Hardware, Third-Party Software or PROVIDER Licensed Technology, or to any PROVIDER Employees, except to the extent expressly disclosed to and approved in writing by CUSTOMER.

  • We must maintain anenvironment in which [NAME OF SERVICE PROVIDER] Employees feel free to call attention to potential legal or policy violations and to investigate impartially the related concerns.

  • In addition, we will not tolerate retaliation against[NAME OF SERVICE PROVIDER] Employees for such reporting.

  • The provisions of this Agreement shall regulate the utilization of Services provided by the SERVICE PROVIDER Employees to “State Life Insurance Corporation of Pakistan”, and shall not apply to any other activity or business operation.

  • Servicer Employees As defined in Section 2.12.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Hired Employees shall have the meaning set forth in Section 7.5(a).

  • Enhanced Service Provider (ESP) means the provider of enhanced services, as those services are defined in 47 CFR Section 64.702.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Transferred Employees has the meaning set forth in Section 6.4(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Local Service Provider (LSP means the LEC that provides retail local Exchange Service to an End User. The LSP may or may not provide any physical network components to support the provision of that End User’s service.

  • Provider Personnel means all persons employed or engaged by the Provider together with the Provider’s servants, agents, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, Provider’s and Sub-Contractors) used in the performance of its obligations under this Agreement;

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Servicer Employee As defined in Section 3.18.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Excluded Employees has the meaning set forth in Section 14.1.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Service employee, means any person engaged in the performance of this contract other than any person employed in a bona fide executive, administrative, or professional capacity, as these terms are defined in Part 541 of Title 29, Code of Federal Regulations, as revised. It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • Owner-Employee means a Self-Employed Individual who is a partner and owns more than 10% of either the capital or profits interest of the partnership.

  • Relevant Employees means the employees who may be affected by a change referred to in subclause (1).

  • Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.

  • Transferred Employee has the meaning set forth in Section 6.01(a).
