In case the Operator fails to send the Subscriber Report within the stipulated period of seven (7) days, SPN Distribution shall have a right to raise a provisional invoice (each a “Provisional Invoice”) and the Operator shall be under an obligation to pay the Monthly License Fee on the basis of such Provisional Invoice in accordance with the terms herein.
In case the IPTV OPERATOR fails to send the report within the said period of seven days from the end of each calendar month, ZEEL shall have the right to raise a provisional invoice (“Provisional Invoice”) for an amount increased by ten percent (10%) of the “Subscription Fee” payable by the IPTV OPERATOR to ZEEL for the immediately preceding month, and the IPTV OPERATOR shall be under legal obligation to make the payment on the basis of such Provisional Invoice in accordance with the terms of this clause.
The Parties will carry out reconciliation, between the Provisional Invoice raised by ZEEL and the monthly subscription reports sent by the DTH OPERATOR, within three (3) months from the date of submission of Monthly Subscriber Report by the DTH OPERATOR.
A Provisional Invoice shall be deemed to be an invoice issued pursuant to Clause 12.1.1 through 12.1.2, as applicable, for the purposes of the payment obligations of Project Co or the Transporter, as applicable, and shall be subject to subsequent adjustment in accordance with Clause 12.1.4(B).
