Prudential Debt definition

Prudential Debt means the Indebtedness owed to The Prudential Insurance Company of America and/or PruCo Life Insurance Company of America in connection with (a) the Senior Secured Notes due July 3, 2007 issued pursuant to the Note Purchase Agreement dated as of June 28, 2002, (b) the Senior Secured Notes due June 17, 2011 issued pursuant to the Note Purchase Agreement dated as of June 18, 2004 and (c) the Subordinated Notes due January 3, 2008 issued pursuant to the Subordinated Note Purchase Agreement dated as of July 3, 2002.
Prudential Debt means the Prudential Notes and any other indebtedness arising on or after the Restatement Effective Date under or pursuant to the Prudential Shelf Agreement. The Notes and the Loans are not subordinated to or otherwise subject to the Prudential Debt.

More Definitions of Prudential Debt

Prudential Debt means Borrower's obligations pursuant to a certain Second Amended and Restated Note Agreement dated as of April 1, 2003 between Borrower and The Prudential Insurance Company of America, as amended by Amendment No. 1 to Second Amended and Restated Note Agreement dated as of November 29, 2003 (the "Existing Note Agreement"), governing the terms of the Borrower's (i) 8.30% Series A Senior Notes due July 10, 2003, (ii) 8.62% Series B Senior Notes due July 10, 2005 and (iii) 8.81% Series C Senior Notes due July 10, 2008.
Prudential Debt has the meaning specified in Schedule 8.01.
Prudential Debt means the Debt incurred by the Company pursuant to the Prudential Debt Documents. Prudential Debt Documents means all documents and instruments relating to the Prudential Debt, executed or delivered from time to time, including, without limitation, that certain Note Purchase Agreement dated June 16, 1997, pursuant to which the company issued its 7.46% senior unsecured notes due June 16, 2007, as any of the foregoing may be amended, modified, restated or replaced from time to time. Refunded Swing Line Loan - see Section 2.2.4(c). Regulation D means Regulation D of the FRB. Regulation U means Regulation U of the FRB. Replacement Lender - see Section 8.7(b). Reportable Event means a reportable event as defined in Section 4043 of ERISA and the regulations issued thereunder as to which the PBGC has not waived the notification requirement of Section 4043(a), or the failure of a Pension Plan to meet the minimum funding standards of Section 412 of the Code (without regard to whether the Pension Plan is a plan described in Section 4021(a)(2) of ERISA) or under Section 302 of ERISA. 14

Prudential Debt the obligations of the Companies under (a) that certain Note Agreement dated November 30, 1991, and (b) that certain Master Shelf Agreement dated September 3, 1993, both of which are among the Companies and The Prudential Insurance Company of America, together with the promissory notes, mortgages and security agreements executed in connection therewith, all as they may be amended from time to time.
