PTC Compensation Amount definition

PTC Compensation Amount means an amount equal to (A) the Production Tax Credits to which Seller would have been entitled with respect to Renewable Energy it is unable to deliver because of a Purchaser Event of Default; plus (B) a "gross up" amount to take into account the federal, state and local income tax to Seller on such payments in lieu of Production Tax Credits so that the net amount retained by Seller, after payment of federal, state and local income taxes, is equal to the amount set forth in clause (A) of this definition. For purposes of determining the foregoing, Seller shall deliver a certificate from an officer of Seller stating the corporate tax rates (federal, state, or local, as applicable) that are in effect for the Seller during the tax year in which the receipt of such PTC Compensation Amount is taxed, and such income tax rates shall be used in the calculation of the PTC Compensation Amount.
PTC Compensation Amount means an amount equal to the Production Tax Credit calculated on an After Tax Basis associated with Deemed Energy.
PTC Compensation Amount means an amount equal to the PTCs, calculated on an After-Tax Basis, to which Seller would have been entitled with respect to Metered Output that Buyer failed to take for its own account or for the account of others.

  • In any situation where an ISO-NE Curtailment Order made in response to a Buyer-Instructed Action causes some or all of the Metered Output available from the Project at the P-Node to fail to clear in the ISO-NE energy market, the Deemed Generated Energy shall be quantified by Seller, and Buyer shall pay Seller the Aggregate Contract Price plus the PTC Compensation Amount for the Deemed Generated Energy.

  • Compensation Payment means a payment, whether in monetary form or in the form of a benefit or service, by or on behalf of an insurer to a complainant to compensate the complainant for a proven or estimated financial loss incurred as a result of the insurer’s contravention, non-compliance, action, failure to act, or unfair treatment forming the basis of the complaint, where the insurer accepts liability for having caused the loss concerned, but excludes any –

  • Annual Cash Compensation means the sum of (a) the highest annual Base Salary in effect for the Executive and (b) the greater of (i) the Executive’s bonus for the most recently-completed year (excluding any special bonuses awarded for performance after the conclusion of the performance period), if any, or (ii) the annualized amount of the Executive’s target bonus for the then current year.

  • Cash Compensation means any discount, concession, fee, service fee, commission, sales charge, loan, override, or cash benefit received by a producer in connection with the recommendation or sale of an annuity from an insurer, intermediary, or directly from the consumer.

  • Contingent Compensation Payment means any payment (or benefit) in the nature of compensation that is made or made available (under this Agreement or otherwise) to a “disqualified individual” (as defined in Section 280G(c) of the Code) and that is contingent (within the meaning of Section 280G(b)(2)(A)(i) of the Code) on a Change in Ownership or Control of the Company.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. Notwithstanding the foregoing, in the event Executive terminates his employment for Good Reason as provided in Subparagraph 6(e), he shall be entitled to the Severance Amount only if he provides the Notice of Termination provided for in Subparagraph 6(f) within thirty (30) days after the occurrence of the event or events which constitute such Good Reason as specified in clauses (A), (B), (C), (D), (E) and (F) of Subparagraph 6(e);

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Company described in the definition of “Contribution Indebtedness.”
