Publicity Memorandum definition

Publicity Memorandum has the meaning ascribed to such term in Clause 9.1.

Publicity Memorandum means the memorandum setting out the guidelines and restrictions on publicity, in accordance with the SEBI ICDR Regulations, Companies Act or any other applicable laws, prepared by the Legal Counsels appointed for the Offer and provided to the Company in connection with the Offer as set out in Annexure D of this Agreement.

Publicity Memorandum has the meaning ascribed to such term in Clause 13.2.

• The BRLMs reserve the right to refuse to approve any such document or announcement and to require prevention of its distribution or publication if, post consultation with the other Parties, such document or announcement is incomplete or misleading in any way in accordance with the requirements of the Publicity Memorandum and/or Applicable Law.
