Publicly Traded Shares definition

Publicly Traded Shares means shares of Newmark Common Stock, if listed on any national securities exchange or included for quotation in any quotation system in the United States (even if such shares are restricted securities under the Securities Act), and any shares of capital stock of any other entity, if such shares are of a class that is listed on any national securities exchange or included for quotation in any quotation system in the United States (even if such shares are restricted securities under the Securities Act).
Publicly Traded Shares means securities that are listed and traded on (i) the New York Stock Exchange, AMEX, NASDAQ, or another nationally recognized securities exchange or (ii) the Frankfurt Stock Exchange, the London Stock Exchange, Euronext, the Luxembourg Stock Exchange, the Hong Kong Stock Exchange, the Singapore Exchange, the Shanghai Stock Exchange, the Tokyo Stock Exchange or the Korea Exchange (KRX).
Publicly Traded Shares means (i) any Shares that (A) have been issued pursuant to an effective registration statement under the Securities Act or (B) have been sold to the public pursuant to Rule 144 under the Securities Act or any similar successor rule; (ii) any Shares that have been sold to the public outside the United States pursuant to the statutes applicable to such sale in the country or jurisdiction in which such Shares were sold; or (iii) any Shares issued upon the registration of transfer of another Share that is a Publicly Traded Share.

  • To the extent necessary or appropriate to give effect to the intent of this provision, as determined by the General Partner in its sole and absolute discretion, the Partnership shall make a special allocation to the distributee Founding/Working Partner or REU Partner, as the case may be, of gain, if any, that arises on any such distribution of the Publicly Traded Shares or other property.

Publicly Traded Shares means equity securities listed on a National Securities Exchange.
Publicly Traded Shares are those that are listed or admitted to unlisted trading privileges on a national securities exchange or as to which bid and offer quotations are reported in the automated quotations system ("NASDAQ") operated by the National Association of Securities Dealers, Inc. ("NASD"), and (b) for credit toward the purchase price or withholding amount, shares tendered or Options surrendered shall be valued as of the day immediately preceding the delivery to the Company of the certificates evidencing such shares, in the case of tendered shares, or the Option Exercise Notice, in the case of surrendered Options. If such day is not a trading day in the United States Securities Markets, the shares shall be valued on the nearest preceding trading day. The valuation shall be made on the basis of the closing price of the Common Stock as reported with respect to the market (or the composite of the markets, if more than one) in which such shares are then traded, or if no such closing prices are reported, the lowest independent offer quotation reported therefor in Level 2 of NASDAQ, or if no such quotations are reported, then on the basis of the most nearly comparable valuation method acceptable to the Company. If the Company rejects the payment in stock or Options, the tendered Notice of Exercise shall not be effective under this Option Agreement unless promptly after being notified of such rejection, the person exercising the Option pays the purchase price or the withholding amount, as the case may be, in acceptable form as required above in this Section.
Publicly Traded Shares means, in relation to any corporation as of any given time, shares of such corporation’s common stock that are then issued and outstanding and belong to a class of common stock that is (a) registered under Section 12 of the Exchange Act and (b) listed on a national securities exchange, authorized for quotation in the automated quotations system of national securities association or traded over-the-counter.
