Purchaser Contract definition

Purchaser Contract shall refer to those contracts required by Regulation S-K to be filed in connection with the Purchaser SEC Reports.

Purchaser Contract means any Contract: (a) to which the Purchaser is a party; (b) by which the Purchaser or any of its assets is or may become bound or under which the Purchaser has, or may become subject to, any obligation; or (c) under which the Purchaser has or may acquire any right or interest.

Purchaser Contract means any Contract: (a) to which the Purchaser is a party; (b) by which the Purchaser or any IP of the Purchaser or any other asset of the Purchaser is or may become bound or under which the Purchaser has, or may become subject to, any obligation; or (c) under which the Purchaser has or may acquire any right or interest. Purchaser Disclosure Schedule. "Purchaser Disclosure Schedule" shall mean the disclosure schedule that has been prepared by the Purchaser in accordance with the requirements of Section 7.6 of the Agreement and that has been delivered by the Purchaser to the Shareholders on the date of the Agreement.

Examples of Purchaser Contract in a sentence

• As between the parties and subject to Sections 13.2 and 13.3, ABB's total aggregate liability, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with a Contract shall be limited to the lower of (i) a sum equal to the charges paid by Purchaser to ABB for the specific Digital Offering giving rise to the claim in the 12 (twelve) months prior to the date on which the claim arose; and (ii) the value of the specific Purchaser Contract.

• If any provision or part-provision of the Purchaser Contract is or becomes invalid, illegal or unen- forceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforcea- ble.

• Any notice given to a party under or in connection with the Purchaser Contract shall be in writing and shall be (i) delivered by hand or courier or by pre-paid registered first-class post or special delivery to the address specified in the Order; or (ii) sent by email to the email address specified in the Order.

More Definitions of Purchaser Contract

Purchaser Contract means any Contract: (a) to which the Purchaser or any of its Subsidiaries is a party; (b) by which the Purchaser or any of its Subsidiaries or any asset of the Purchaser or any of its Subsidiaries is or may become bound or under which the Purchaser or any of its Subsidiaries has, or may become subject to, any obligation; or (c) under which the Purchaser or any of its Subsidiaries has or may acquire any right or interest.

Purchaser Contract shall have the meaning set forth in Section 6.2 hereof.

Purchaser Contract means any agreement, commitment, engagement, contract, franchise, licence, lease, obligation, undertaking or joint venture (written or oral) to which the Purchaser or any of its subsidiaries is a party or by which any of them is bound or affected or to which any of their properties or assets is subject.

Purchaser Contract of the Purchaser or any of its Subsidiaries means (i) any "material contract" (as such term is defined in Item 601(b)(10) of Regulation S-K of the SEC) of any such Person, and (ii) any non-competition agreement or any other agreement or obligation that purports to limit in any material respect the manner in which, or the localities in which, all or any material portion of the business of such Person and its Subsidiaries, taken as a whole, has been, is or is proposed to be conducted.

Purchaser Contract means any Contract to which the Purchaser or ------------------ any Purchaser Subsidiary is a party or by which its properties or assets are bound or under which it or its respective business, properties or assets receive benefits.

Purchaser Contract is defined in Section 3.2.2.
