Purchaser Group Companies means the Purchaser and any subsidiaries thereof.

  • The Purchaser Group Companies are, and have been since December 31, 2018, in compliance with all Laws and Governmental Orders applicable to any of them, except for instances of non-compliance that, have not had and would not reasonably be expected to have, individually or in the aggregate, a Purchaser Material Adverse Effect.

  • The Purchaser Group Companies are principally engaged in the business described in its most recent annual report, and such report contains a complete and accurate description of the business of the Purchaser Group Companies, taken as a whole and in all material aspects.

  • To the Knowledge of Purchaser, none of the Purchaser Group Companies, or any director or officer thereof in his or her capacity as such director or officer or otherwise in connection with his or her role or activities with such Purchaser Group Company, is or has been the subject of any Action involving a claim of violation of, or liability under, applicable securities Laws, or a claim of breach of fiduciary duty.

  • None of the Purchaser Group Companies is, immediately prior to this Agreement, or will be, at the time of the Pre-closing after giving effect to the Pre-closing, in any Major Indebtedness Default (except where waiver or consent thereof has been obtained).

  • Group Companies means the Company and its Subsidiaries.
