Put Feature definition

Put Feature means, with respect to the Series [o] Notes, the right of the Holders to put the Series [o] Notes to the Issuer upon satisfaction of the conditions set forth in Section 3.15(a) and receive the amounts specified in Section 3.15(a).
Put Feature means, with respect to a series of Notes, the provisions in the Indenture Supplement for such series of Notes that allow the Noteholders, under specified circumstances, to put the Notes of such series to the Issuer in exchange for the proceeds (up to the amount specified in the Indenture Supplement) from the sale of Receivables specified in such Indenture Supplement.

Examples of Put Feature in a sentence

  • In the case of a series or class of Notes that has been accelerated following an Event of Default, if the Put Feature of such series or class of Notes has been deemed to be exercised as provided in the related Indenture Supplement, the Indenture Trustee will cause the CARCO Trust to sell Principal Receivables and the related Non-Principal Receivables (or interests therein) as provided in such Indenture Supplement.

  • The Holders of the Series 2004-A Notes shall maintain their rights in their Series 2004-A Notes until such sale proceeds have been applied in accordance with Section 706 of the Indenture and shall present their Series 2004-A Notes to the Issuer in accordance with Section 706 of the Indenture as part of their exercise of the Put Feature.

  • The Holders of the Series 2002-A Notes shall maintain their rights in their Series 2002-A Notes until such sale proceeds have been applied in accordance with Section 706 of the Indenture and shall present their Series 2002-A Notes to the Issuer in accordance with Section 706 of the Indenture as part of their exercise of the Put Feature.

  • In the case of a series or class of Notes that has been accelerated following an Event of Default, if the Put Feature of such series or class of Notes has been deemed to be exercised as provided in the related Indenture Supplement, the Indenture Trustee will sell Principal Receivables and the related Non-Principal Receivables (or interests therein) as provided in such Indenture Supplement.

  • If the Put Feature is deemed to be exercised as provided in the preceding sentence, it shall be deemed to be exercised by all Holders of the Series 2002-B Notes, whether or not they actually give notice of their desire to exercise the Put Feature.

  • If the Put Feature is deemed to be exercised as provided in the preceding sentence, it shall be deemed to be exercised by all Holders of the Series 2004-B Notes, whether or not they actually give notice of their desire to exercise the Put Feature.

  • If the Put Feature is deemed to be exercised as provided in the preceding sentence, it shall be deemed to be exercised by all Holders of the Series 2004-A Notes, whether or not they actually give notice of their desire to exercise the Put Feature.

  • The Holders of the Series 2003-A Notes shall maintain their rights in their Series 2003-A Notes until such sale proceeds have been applied in accordance with Section 706 of the Indenture and shall present their Series 2003-A Notes to the Issuer in accordance with Section 706 of the Indenture as part of their exercise of the Put Feature.

  • The Holders of the Series 2004-B Notes shall maintain their rights in their Series 2004-B Notes until such sale proceeds have been applied in accordance with Section 706 of the Indenture and shall present their Series 2004-B Notes to the Issuer in accordance with Section 706 of the Indenture as part of their exercise of the Put Feature.

  • The Holders of the Series 2002-B Notes shall maintain their rights in their Series 2002-B Notes until such sale proceeds have been applied in accordance with Section 706 of the Indenture and shall present their Series 2002-B Notes to the Issuer in accordance with Section 706 of the Indenture as part of their exercise of the Put Feature.

Related to Put Feature

  • Water feature means a design element where open water performs an aesthetic or recreational function. Water features include ponds, lakes, waterfalls, fountains, artificial streams, spas, and swimming pools (where water is artificially supplied). The surface area of water features is included in the high water use hydrozone of the landscape area. Constructed wetlands used for on-site wastewater treatment, habitat protection, or storm water best management practices that are not irrigated and used solely for water treatment or storm water retention are not water features and, therefore, are not subject to the water budget calculation.

  • Brand Features means the trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of each party, respectively, as secured by such party from time to time.

  • Custom Calling Features means a set of Telecommunications Service features available to residential and single-line business customers including call-waiting, call-forwarding and three-party calling.

  • Feature means a distinguishable software function included in the Software and as further detailed in Schedule 3 and the Product Handbook. Various Features may be grouped together in Feature Packs.

  • CLASS Features means certain CCIS-based features available to Customers, including: Automatic Call Back; Caller Identification and related blocking features; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • Google means the Google Entity that is party to the Agreement.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • Custom Local Area Signaling Service Features (CLASS) means certain call-management service features that are currently available from SBC-13STATE’s local networks. These could include: Automatic Call Back; Automatic Recall; Call Trace; Caller Identification and related blocking features; Calling Number Delivery; Customer Originated Trace; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Launch Date has the meaning specified therefor in Section 2.02(b) of this Agreement.

  • Customer channel termination point means the location where the customer either inputs or receives the communications.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Customization means any customer-specific modification to software that requires changes to the software’s source code.

  • Customer Content means all files, content (including audio, video, text, or images), and data (including Personal Data) belonging to or controlled by the Customer, which is uploaded into the Products and Services or otherwise provided to Showpad for processing pursuant to the Agreement.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.

  • Bundle means to collect contributions from more than one source which are then delivered by one person to the Mayor or to his political fundraising committee.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Particle accelerator means any machine capable of accelerating electrons, protons, deuterons, or other charged particles in a vacuum and of discharging the resultant particulate or other radiation into a medium at energies usually in excess of one MeV. For purposes of this definition, "accelerator" is an equivalent term.

  • Variable-aperture beam-limiting device means a beam-limiting device which has capacity for stepless adjustment of the x-ray field size at a given SID.

  • Common Channel Signaling (CCS means an out-of-band, packet-switched, signaling network used to transport supervision signals, control signals, and data messages. It is a special network, fully separate from the transmission path of the public switched network. Unless otherwise agreed by the Parties, the CCS protocol used by the Parties shall be SS7.

  • Unilateral Change Order (ULCO means a Change Order issued by Owner without the complete agreement of Contractor, as to cost and/or time.

  • Additional Product means any Product identified as such in the Product Terms and chosen by Enrolled Affiliate under this Enrollment.

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Product Schedule means the “Product Schedule” that forms part of the Contract.
